Agent Counsel Legal Opinion. Agent shall have received from Xxxxxx LLP, counsel for Agent, such opinion or opinions, on or before the date on which the delivery of the Company counsel legal opinion is required pursuant to Section 4(p), with respect to such matters as Agent may reasonably require, and the Company shall have furnished to such counsel such documents as they request for enabling them to pass upon such matters.
Agent Counsel Legal Opinion. The Agent shall have received from Xxxxxx & Xxxxxxx LLP, counsel for the Agent, such written opinion or opinions and negative assurance letter, on or before the date on which the delivery of the Company Counsel legal opinions and negative assurance letter are required pursuant to Section 7(m), with respect to such matters as the Agent may reasonably require, and the Company shall have furnished to such counsel such documents as they request for enabling them to pass upon such matters.
Agent Counsel Legal Opinion. Subject to Section 7(o) above, (i) on the date of this Agreement and (ii) within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit E for which no waiver is applicable, Xxxxx shall have received from Xxxxxxxx Chance US LLP, counsel for Xxxxx, such opinion or opinions, dated as of such date, as Xxxxx may reasonably require, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Xxxxxxxx Chance US LLP may rely as to the organization and incorporation of the Company and other matters governed by Maryland law upon the opinion of Xxxxx Lovells US LLP referred to above.
Agent Counsel Legal Opinion. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement, within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit C for which no waiver is applicable, Jefferies shall have received the favorable opinion of Xxxxxxxx & Xxxxxxxx LLP, counsel to Jefferies, dated as of such date, in customary form and substance satisfactory to Jefferies, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.
Agent Counsel Legal Opinion. (i) On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement and (ii) within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit F for which no waiver is applicable, the Manager shall have received the favorable opinion of DLA Piper LLP (US), counsel to the Manager, dated as of such date, in customary form and substance satisfactory to the Manager, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters. In rendering such opinion, DLA Piper LLP (US) may rely as to the organization and incorporation of the Transaction Entities and other matters governed by Maryland law upon the opinion of Xxxxxxx LLP referred to above.
Agent Counsel Legal Opinion. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement, each time Securities are delivered to the Agent as principal on a Settlement Date, and as promptly as possible and in no event later than two (2) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit H for which no waiver is applicable, the Agent shall have received the favorable opinion of DLA Piper LLP (US), counsel to the Agent, dated the date that the opinion is required to be delivered, in customary form and substance satisfactory to the Agent, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.
Agent Counsel Legal Opinion. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement, as soon as practicable and in no event later than three (3) Trading Days after each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit E for which no waiver is applicable, [MKT NAME] shall have received a letter of Sidley Austin LLP, counsel to [MKT NAME], dated the date that the opinion is required to be delivered, in customary form and substance satisfactory to [MKT NAME], and the Company shall have furnished to such counsel such documents as it reasonably requests for the purpose of enabling them to pass upon such matters.
Agent Counsel Legal Opinion. The Agent shall have received such opinion or opinions of Dxxxx Xxxxxx LLP, counsel for the Agent, on or before the date on which the delivery of the Dentons legal opinion is required pursuant to Section 7(m), with respect to such matters as the Agent may reasonably require, and the Company shall have furnished to such counsel such documents as they request for enabling them to pass upon such matters.
Agent Counsel Legal Opinion. BRS shall have received from Xxxxx Xxxxxx LLP, counsel for BRS, such opinion or opinions, on or before the date on which the delivery of the Company Counsel legal opinion is required pursuant to Section 7(m), with respect to such matters as BRS may reasonably require, and the Company shall have furnished to such counsel such documents as the counsel for BRS may reasonably request for enabling them to pass upon such matters.
Agent Counsel Legal Opinion. On or prior to the date of the first Placement Notice given hereunder the Company shall cause to be furnished to the Agent a written opinion letter and negative assurance letter of Xxxxxx, Xxxxx & Bockius LLP (“Agent Counsel”) in form and substance reasonably satisfactory to the Agent. Thereafter, within five (5) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit 7(l) for which no waiver is applicable, the Agent Counsel shall cause to be furnished to the Agent a negative assurance letter of Agent Counsel in form and substance reasonably satisfactory to the Agent; provided that, in lieu of such negative assurance for subsequent periodic filings under the Exchange Act, counsel may furnish the Agent with a letter (an “Agent Counsel Reliance Letter”) to the effect that the Agent may rely on the negative assurance letter previously delivered under this Section 7(o) to the same extent as if it were dated the date of such letter (except that statements in such prior letter shall be deemed to relate to the Registration Statement and the Prospectus as amended or supplemented as of the date of the Agent Counsel Reliance Letter).
