Agency Audit. Seller shall at all times maintain copies of relevant portions of all Agency Audits in which there are material adverse findings, including without limitation notices of defaults, notices of termination of approved status, notices of imposition of supervisory agreements or interim servicing agreements, and notices of probation, suspension, or non-renewal.

Agency Audit. The Secretary and/or the FHWA may request, in their sole discretion, to conduct an audit of the Project. Upon the request of the Secretary and/or the FHWA for an audit, the City will participate and cooperate in the audit and shall make its records and books available to representatives of the requesting agency for a period of five (5) years after date of final payment under this Agreement. If the audit reveals payments have been made with federal funds by the City for items considered Non-Participating Costs, the City shall promptly reimburse the Secretary for such items upon notification by the Secretary.

Upon the request of the Secretary and/or the NHTSA for an audit, the Subrecipient shall participate and cooperate with any reviews or audits of the activities under this Agreement; make its records and books available to representatives of the requesting agency for a period of five (5) years from the date of final payment under this Agreement; and ensure to the extent possible the cooperation of its agents, employees, and board members in any such reviews and audits. If an audit reveals the Subrecipient has expended grant funds in any manner not authorized under this Agreement, the Subrecipient shall promptly reimburse the Secretary for such funds upon notification by the Secretary.
