After Normal Business Hours. Members who need medical services after normal business hours should contact their PCP. The PCP’s answering service may take the Member’s call. If so, the answering service will contact the Member’s physician or the physician on call, who will contact the Member as soon as possible. After normal business hours calls should be limited to medical problems requiring immediate attention. However, Members should not postpone calling their PCP’s office if they believe they need medical attention.  All continuing care as a result of Emergency Services must be provided or Referred by a Member’s Primary Care Physician or coordinated through Keystone’s Customer Service Department.  Some services must be Preauthorized by the HMO. Your Primary Care Physician or Participating Specialist works with the HMO's Care Management and Coordination team during the Preauthorization process. Services in this category include, but are not limited to: hospitalization; certain outpatient services; Skilled Nursing Facility services; and home health care. Services that require Preauthorization are noted in the attached Medical Care Preauthorization Schedule included with this Agreement. You have the right to appeal any decisions through the Member Appeal Process. Instructions for the appeal will be described in the denial notifications.  All services must be received from Participating Providers within Keystone’s Limited Network Area unless Preauthorized by Keystone, or except in cases requiring (1) Emergency Services or Urgent Care while outside Keystone’s Limited Network Area but within Keystone’s Approved Service Area; (2) Emergency Service, Urgent Care and follow-up care under the BlueCard Program while outside Keystone’s Approved Service Area; or (3) Guest Membership Benefits under the Away From Home Care Program while outside Keystone’s Approved Service Area. After Normal Business Hours. Landlord reserves the right to exclude from the Building any person who does not possess an authorized means of access such as a key, card key, or a prearranged written authorization and who is otherwise not an employee or guest of Tenant. In no event shall Tenant allow access to the Premises or the Building to anyone other than its officers, agents, employees, guests or vendors.
After Normal Business Hours. Subject to Landlord’s rules and regulations and reasonable Building security requirements and, for clarity, section 17.10, it is understood that Tenant requires and shall therefore have the right to access the Premises and conduct business thereon seven (7) days per week, from 8:00 a.m. to 11:00 p.m. Landlord acknowledges having been advised by Tenant that this is an integral part of Tenant’s business operations and is crucial therefore, subject to the payment by Tenant of the cost thereof and subject to any reasonable interruptions for modifications, repairs and replacements to the system or Building (which Landlord agrees to provide advance notice to Tenant (except n the case of an emergency in which case no notice shall be required) and which landlord agrees to use commercially reasonable efforts to effect as quickly as possible with as minimal interruption as is reasonably possible), Landlord shall provide to Tenant HVAC during such hours unless Tenant gives Landlord at least two (2) business days’ prior written notice to the contrary. Any costs for the operation of the HVAC equipment outside Normal Business Hours shall be charged to Tenant at the current Building rates from time to time. Landlord confirms that, for the purposes of this Section 18.3, “Normal Business Hours” shall be 7:00 a.m. to 6:00 p.m. Monday to Friday.

The Purchaser acknowledges that the Purchaser is and remains bound by that certain Confidentiality Agreement, dated as of April 21, 2015 (as amended from time to time, the “Confidentiality Agreement”), by and between Purchaser and GTCR LLC (“GTCR”). The information provided pursuant to this Section 7.02 will be used solely for the purpose of effecting the transactions contemplated by this Agreement, and will be governed by all the terms and conditions of the Confidentiality Agreement.

  • Maintaining Books and Records Accurate books, records and accounts shall be maintained by the Partnership for each Restaurant and for the Partnership showing their respective assets, liabilities, operations, transactions and financial condition, as well as the names and addresses of the Partners. The Partnership’s and each Restaurant’s books and records may be kept under such permissible method of accounting as the General Partner may determine. The Partnership’s and each Restaurant’s books shall be maintained at the principal office of the Partnership, and each Partner shall have the right upon reasonable notice given to the Partnership to inspect, extract and copy such books during regular business hours of the Partnership.

  • Services to Other Clients; Certain Affiliated Activities (a) The relationship between the Asset Manager and the Series is as described in this Agreement and nothing in this Agreement, none of the services to be provided pursuant to this Agreement, nor any other matter, shall oblige the Asset Manager to accept responsibilities that are more extensive than those set forth in this Agreement.
