(i) No suit, action, claim or governmental proceeding shall be pending againstagainst any party hereto which would reasonably be expected to render the consummation of the transactions contemplated by this Agreement unlawful, and (ii) no order, decree or judgment of any court, agency or other governmental authority shall have been rendered against, any party hereto which would render it unlawful, as of the Closing Date, to effect the transactions contemplated by this Agreement in accordance with its terms.

No suit, action, claim or governmental proceeding shall be pending againstwhich seeks to restrain or prohibit this Agreement or consummation of the transactions contemplated hereby, and no order, decree or judgment of any court, agency or other governmental authority Governmental Authority shall have been rendered against, against any party hereto which would render it unlawful, as of the Closing Date, to effect the transactions contemplated by this Agreement in accordance with its terms, or which would impair materially the ability of Buyer to realize the benefits of the transactions contemplated by this Agreement.

There shall have been no material adverse change in the Business or its prospects for the future.
