Advances by Members. If the Company does not have sufficient cash to pay its obligations, and the Company does not raise additional capital pursuant to Section 5.3 hereof, any Member(s) that may agree to do so with the consent of the Board of Managers, as appropriate, may advance all or part of the needed funds to or on behalf of the Company. An advance described in this Section constitutes a loan from the Member to the Company, bears interest at the rate negotiated with the Board of Managers from the date of the advance until the date of payment and is not a Capital Contribution.

Advances by Members. If the Company does not have sufficient cash to pay its obligations or is otherwise in need of working capital, any Member that may agree to do so may advance all or part of the needed funds to or on behalf of the Company. In the absence of any written agreement to the contrary, an advance described in this Section 4.3 shall constitute a loan from the Member to the Company and shall bear interest from the date of the advance until the date of payment at a rate per annum agreed to by the Members and such Member and shall not constitute a part of such Member's Capital Contribution.

An advance described in this Section 4.10 constitutes a loan from the Member to the Company, bears interest at an agreed rate from the date of the advance until the date of payment, and is not a Capital Contribution.
Advances by Members. If the Board of Managers reasonably determines that the Company does not have sufficient funds to pay its obligations after taking into account other then-currently available funding sources (excluding for the purposes hereof the availability of any Capital Contributions pursuant to Section 3.2), then any Member(s) that may agree to do so may advance all or part of the funds required to, or on behalf of, the Company. An advance described in this Section 3.7 constitutes a loan from such Member(s) to the Company, and shall not constitute a Capital Contribution. Repayment of such advances shall be on such commercially reasonable terms and conditions mutually acceptable to the Board of Managers and such Member making an advance hereunder; provided, however, that, (a) if a Non-Defaulting Member has made a Default Loan to a Defaulting Member in connection with Section 3.2(f), then any amounts that would otherwise be paid by the Company to such Defaulting Member to repay any advance by such Defaulting Member to the Company shall instead be paid to the Non-Defaulting Member and applied to repay such Default Loan until such Default Loan is repaid in full, or (b) if a Funding Member has made a Guarantee Loan to a Guaranteeing Member in connection with Section 3.2(g), then any amounts that would otherwise be paid by the Company to such Guaranteeing Member to repay any advance by such Guaranteeing Member to the Company shall instead be paid to the Funding Member and applied to repay such Guarantee Loan until such Guarantee Loan is repaid in full.
Advances by Members. If a Member shall advance money or property to the Company pursuant to Section 4.3 hereof or otherwise (other than as provided in Sections 4.1 and 4.2 hereof), the amount of such advance shall not be an Additional Capital Contribution by such Member and shall not increase such Member's Interest in the Company or entitle such Member to an increase in such Member's share of the income, gain or profits of the Company, nor subject such Member to any greater portion of any loss or liability which the Company may sustain; instead, the amount of such advance shall be indebtedness due from the Company to such Member, and, except as provided otherwise in Section 4.3 hereof, such indebtedness shall be subject to such terms and shall bear interest at such rate as determined by the required vote of the Members. Unless otherwise determined by the required vote of the Members, any such indebtedness shall be repaid as soon as practicable to such Member, with interest to be paid prior to the repayment of principal.
