Common use of Admission of Successor General Partner Clause in Contracts

Admission of Successor General Partner. (a) (i) A successor to all of the General Partner Interest pursuant to Section 11 hereof who is proposed to be admitted as a successor General Partner shall be admitted to the Partnership as the General Partner, effective immediately following such transfer and the admission of such successor General Partner as a general partner of the Partnership upon the satisfaction of the terms and conditions set forth in Section 12.1(b).

Admission of Successor General Partner. (a) (i) A successor to all of the General Partner Interest pursuant to Section Article 11 hereof who is proposed to be admitted as a successor General Partner shall be admitted to the Partnership as the General Partner, effective immediately following such transfer and the admission of such successor General Partner as a general partner of the Partnership upon the satisfaction of the terms and conditions set forth in Section 12.1(b).

(a) (i) A successor to all of the General Partner’s General Partner Interest pursuant to Section 11 11.2 hereof who is proposed to be admitted as a successor General Partner shall be admitted to the Partnership as the General Partner, effective immediately following prior to such transfer and Transfer. Any such successor shall carry on the business of the Partnership without dissolution. In each case, the admission of such shall be subject to the successor General Partner as a general partner of executing and delivering to the Partnership upon the satisfaction an acceptance of all of the terms and conditions set forth in Section 12.1(b)of this Agreement and such other documents or instruments as may be required to effect the admission.

(a) (i) A successor to all The transferee of the entire Partnership Interest of the General Partner Interest as a General Partner pursuant to Section 11 hereof who is proposed to be admitted as a successor General Partner 10.3 shall be admitted to the Partnership as the General Partner, effective immediately following such transfer prior to the Transfer pursuant to Section 10.3 and shall continue the admission of such successor General Partner as a general partner business of the Partnership upon the satisfaction of the terms and conditions set forth in Section 12.1(b)without dissolution.

To the extent required by the laws of any jurisdiction to which the Partnership or this Agreement is subject, the Partners unanimously consent to the admission of such successor General Partner as a general partner of the Partnership upon the satisfaction of the terms and conditions set forth in pursuant to this Section 12.1(b12.3 or Sections 13.1 or 11.2(a) or (b).
