Common use of Admission of Additional Limited Partners Clause in Contracts

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

After the admission (a) Subject to the Partnership terms and conditions of the initial Limited Partners on the date hereofSection 4.3 hereof and Section 12.2(c) below, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form reasonably satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 2.4, and (ii) such other documents or instruments as may be required in the sole and absolute discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a 13.2.1 A Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance his acceptance, in form satisfactory to the General Partner Partner, of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 Article 10, and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s his admission as an Additional a Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner upon, and only upon upon, furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After (a) A Person (other than the admission to General Partners, the Partnership of the initial MLP or a Substituted Limited Partners on the date hereof, a Person Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the Managing General Partner (i) evidence of acceptance in form satisfactory to the Managing General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 2.6, and (ii) such other documents or instruments as may be required in the discretion of the Managing General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After (a) A Person (other than the admission to the Partnership of the initial General Partners, an Initial Limited Partners on the date hereof, Partner or a Person Substituted Limited Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the Managing General Partner (i) evidence of acceptance in form satisfactory to the Managing General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 2.6, and (ii) such other documents or instruments as may be required in the discretion of the Managing General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial (a) A Person (other than a General Partner, an Initial Limited Partners on the date hereof, Partner or a Person Substituted Limited Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the Managing General Partner (i) evidence of acceptance in form satisfactory to the Managing General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 2.6, and (ii) such other documents or instruments as may be required in the discretion of the Managing General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. 12.2.1 After the admission to the Partnership of the initial Limited Partners on the date hereof, a Person (other than an existing Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence an instrument of acceptance in form satisfactory joinder to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 Agreement executed by 66 such Person and (ii) such other documents or instruments as may be required in the sole and absolute discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a A Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, 55 61 including, without limitation, the power of attorney granted in Section 2.4 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After 11.4.1A Person (other than the admission to the Partnership of the initial General Partner, an Initial Limited Partners on the date hereof, Partner or a Person Substituted Limited Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 this Agreement, and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

After 11.4.1 A Person (other than the admission to the Partnership of the initial General Partner, an Initial Limited Partners on the date hereof, Partner or a Person Substituted Limited Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 and this Agreement, (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a S. (a) After the admission to the Partnership of the initial Limited Partners on the date hereof, a Person who makes a Capital Contribution to the issued Partnership Units in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance a written agreement in form satisfactory to the General Partner of accepting all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 Agreement and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After (a) A Person (other than the admission to the Partnership of the initial General Partner, an Initial Limited Partners on the date hereof, Partner or a Person Substituted Limited Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 1.4, and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

After the admission to the Partnership of the initial Limited Partners on the date hereof, a A Person who makes a Capital Contribution to the Partnership in accordance with this Agreement (or who exercises an option to receive Partnership Units) shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereofJuly 7, 2015, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a (a) A Person who makes a Capital Contribution is hereafter admitted to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 8.02 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a (a) A Person who makes a Capital Contribution to the Partnership in accordance with this Agreement or a Person who is issued OP Profits Units in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 8.2 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial (a) A Person (other than a Substituted Limited Partners on the date hereof, a Person Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 1.4 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a A Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 3.4 and, if applicable, 12.2(A) hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a (a) A Person who made or makes a Capital Contribution to the Partnership in accordance with this Agreement or who exercises an option to receive Partnership Units shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the Managing General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the a power of attorney granted in Section 2.4 authority reasonably satisfactory to the Managing General Partner, and (ii) such other documents or instruments as may be required in the discretion of the Managing General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial additional Limited Partners on the date hereof, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement and the Exchange Rights Agreement, including, without limitation, the power of attorney granted in Section 2.4 hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a (a) A Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 1.4 hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After (a) A Person (other than the admission to the Partnership of the initial General Partner, UDS Logistics or a Substituted Limited Partners on the date hereof, a Person Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 2.06, and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. (a) After the admission to the Partnership of the initial Limited Partners on the date hereof, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

(a) After the admission to the Partnership of the initial Limited Partners on the date hereof, a Person not already a Partner who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 2.4, and (ii) such other documents or instruments as may be required in the sole discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After (a) A Person (other than the admission to General Partner, the Partnership of the initial MLP or a Substituted Limited Partners on the date hereof, a Person Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the granting of the power of attorney granted in Section 2.4 2.6 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial additional Limited Partners on the date hereof, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited 72 Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement and the Exchange Rights Agreement, including, without limitation, the power of attorney granted in Section 2.4 hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

After (a) A Person (other than the admission to the Partnership of the initial Managing General Partner or a Substituted Limited Partners on the date hereof, a Person Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the Managing General Partner (i) evidence of acceptance in form satisfactory to the Managing General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 2.6, and (ii) such other documents or instruments as may be required in the discretion of the Managing General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After (a) A Person (other than the admission to the Partnership of the initial General Partner, an Initial Limited Partners on the date hereof, Partner or a Person Substituted Limited Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement in exchange for Limited Partner Interests shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 2.6, and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Original Limited Partners on the date hereofDecember 1, 1997, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After (a) A Person (other than the admission to General Partner, the Partnership of the initial MLP or a Substituted Limited Partners on the date hereof, a Person Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the Managing General Partner (i) evidence of acceptance in form satisfactory to the Managing General Partner of all of the terms and conditions of this Agreement, including, without limitation, including the power of attorney granted in Section 2.4 2.6, and (ii) such other documents or instruments as may be required in the discretion of the Managing General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After 11.4.1 A Person (other than the admission to the Partnership of the initial General Partner, an Initial Limited Partners on the date hereof, Partner or a Person Substituted Limited Partner) who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 and 15, (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereofJanuary 26, 1994, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. (a) After the admission to the Partnership of the initial Initial Limited Partners Partner on the date hereof, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 hereof and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s 's admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership of the initial Limited Partners on the date hereof, a Person who makes a Capital Contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 and (ii) such other documents or instruments as may be 49 required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A. After the admission to the Partnership date of the initial Limited Partners on the date hereofPrior Partnership Agreement, a Person (other than an existing Partner) who makes a Capital Contribution capital contribution to the Partnership in accordance with this Agreement shall be admitted to the Partnership as an Additional Limited Partner only upon furnishing to the General Partner (i) evidence of acceptance in form satisfactory to the General Partner of all of the terms and conditions of this Agreement, including, without limitation, the power of attorney granted in Section 2.4 and (ii) such other documents or instruments as may be required in the discretion of the General Partner in order to effect such Person’s admission as an Additional Limited Partner.

Admission of Additional Limited Partners. A.
