Administrative Services Fees. In consideration of administrative services performed or caused to be performed by the Investment Adviser for the Fund’s Class C shares, Class F shares, Class R shares, and Class 529 shares the Fund shall pay the Investment Adviser an administrative services fee (“administrative fee”). For the Fund’s Class C shares, Class F-1 shares, Class F-2 shares, Class R-1 shares, Class R-2 shares, Class R-3 shares, Class R-4 shares and Class 529 shares, the administrative fee shall accrue daily and shall be calculated at the annual rate of 0.15% of the average daily net assets of those shares. For the Fund’s Class R-5 shares, the administrative fee shall accrue daily and shall be calculated at the annual rate of 0.10% of the average daily net assets of the Class R-5 shares. For the Fund’s Class R-6 shares, the administrative fee shall accrue daily and shall be calculated at the annual rate of 0.05% of the average daily net assets of the Class R-6 shares. The administrative fee shall be invoiced and paid within 30 days after the end of the month in which the administrative services were performed.
Administrative Services Fees. The administrative fee shall be paid within 30 days after receipt of an invoice for administrative services performed in the preceding month.

Administrative Services Fees. The Client shall pay the fees set forth or referred to in Exhibit B for the Administrative Services. All fixed recurring fees shall be payable monthly in arrears based upon Client’s beginning-of-month net assets. Any increases or decreases in the Administrative Services Fees shall be agreed upon in advance in writing by the Company and the Client. Notwithstanding the foregoing, the Company agrees that (a) it shall not increase the Administrative Services Fees for a period of 12 (twelve) months following the Commencement Date and (b) it shall provide the Client with three (3) months prior written notice of its intent to increase the Administrative Services Fees.

For the Trust’s Class C shares, Class F-1 shares, and Class F-2 shares, the administrative fee shall accrue daily and shall be calculated at the annual rate of 0.15% of the average net assets of those shares. For the Trust’s Class R-5 shares, the administrative fee shall accrue daily and shall be calculated at the annual rate of 0.10% of the average net assets of the Class R-5 shares. The administrative fee shall be paid within 30 days after receipt of an invoice for administrative services performed in the preceding month.
Administrative Services Fees. The Client shall pay the fees set forth in Exhibit C for the Administrative Services. The fees set forth in Exhibit C are based on the assumptions in Exhibit B. The Company reserves the right to adjust the fees set forth in Exhibit C if the assumptions in Exhibit B are inaccurate upon giving 60 days prior notice to the Client. Unless otherwise specified in Exhibit C, all fixed recurring fees shall be payable monthly in arrears. The fees will be based upon monthly Aggregate Net Assets of the Client based on the actual ending asset balance for the month. The Administrative Services Fees payable as stated above shall, where appropriate, be pro-rated to and be paid up to and including the date on which this Agreement may be terminated.

Administrative Services Fees. (i) For Administrative Services rendered from the Effective Date of this Agreement through December 31, 2006, the Operating Partnership shall pay to VCSC $11,846.

Administrative Services Fees. In consideration of the services performed by BPS hereunder, the Fund agrees to pay BPS a fee in accordance with, and in the manner set forth in Schedule B hereto. The parties recognize and agree that this fee relates to administrative services only and does not constitute payment in any manner for investment advisory services or for costs of distribution of Fund shares.
