Administrative Proceeding. We shall pay up to $35,000 in the aggregate for reasonable and necessary Defense Costs in the event that an Administrative Proceeding is initiated and reported during the Policy Period and provided You did not engage in the wrongful practices alleged and /or do not admit all or any part of the allegations.

  • Tax Reduction Proceedings After an Event of Default, Borrower shall be deemed to have appointed Lender as its attorney-in-fact to seek a reduction or reductions in the assessed valuation of the Property for real property tax purposes or for any other purpose and to prosecute any action or proceeding in connection therewith. No member of the Lender Group has (or shall be deemed to have) any fiduciary relationship or duty to any Loan Party arising out of or in connection with the Loan Documents or the transactions contemplated thereby, and there is no agency or joint venture relationship between the members of the Lender Group, on the one hand, and the Loan Parties, on the other hand, by virtue of any Loan Document or any transaction contemplated therein.
