Administrative Committee. AEP and Customer shall each appoint a member and at least one alternate to an Administrative Committee, and so notify the other party of such appointment(s) in writing. Such appointment(s) may be changed at any time by similar notice. Each member and alternate shall be a responsible person familiar with the day-to-day operations of their respective system. Generally, this would mean that the Administrative Committee representative(s) will be employees AEP and the Customer, or entities represented by the Customer; however, the representative(s) may be accompanied by other experts, appropriate to the matters to be considered. The Administrative Committee shall represent AEP and Customer in all matters arising under this Agreement and which may be delegated to it by mutual agreement of the parties hereto.

Administrative Committee. 1. An Administrative Committee shall be established to consider the implementation of this Agreement, to consider any amendments proposed thereto and to consider measures to secure uniformity in the interpretation and application thereof.

Administrative Committee. The Company may appoint a committee, which shall be known as the "Administrative Committee" to carry out the Administrator's responsibilities under this Plan document, and the term "Administrator" as used in this Plan means the Administrative Committee. If the Company does not appoint an Administrative Committee, the Company shall be the Administrator for all purposes. Unless the Administrative Committee and the Company agree otherwise, the Company shall act as the plan administrator for the purpose of satisfying any requirement now or subsequently imposed by Federal or state legislation to report or disclose to any Federal or state department or agency any information concerning the Plan, and any cost or expense incurred in satisfying such reporting or disclosure requirements shall be deemed a reasonable expense of administering the Plan and may be paid from the Fund. The members of the Administrative Committee may be removed by the Company at any time, with or without cause. Any member of the Administrative Committee may resign at any time by delivering a written resignation to the President or the Secretary of the Company. Any vacancy in the membership of the Administrative Committee, however arising, shall be filled by the Company. The Administrative Committee may act only by the unanimous vote of its members at a meeting or by a writing signed by each of its members without a meeting. The Administrative Committee may authorize one or more of its members to execute on its behalf any notices, directions, certificates, consents or other documents. The Trustee, and any other person or organization, upon written notice of such authorization, shall accept and rely upon such authorization until given a written notice that the authorization has been revoked or changed by the Administrative Committee. A member of the Administrative Committee who is also a Participant shall not vote or act upon any matter affecting solely any of his benefits under the Plan. The Administrative Committee may adopt and amend from time to time rules and regulations for the conduct of its affairs. The members of the Administrative Committee shall serve without compensation for their services as such members.
