Neither Sourcewell, any Participating Entity, Vendor, nor Vendor’s authorized dealer may propose terms that materially deviate from the terms of this Contract.

Vendor’s standard terms and conditions forms are attached hereto and identified as: (1) the Gilbarco Gasboy® Equipment and Services Order form with attached Exhibit 1 - Terms and Conditions of Sale for Products (Equipment) and Exhibit 2 – Installation Services Scope of Work: Gasboy® Product Installation; and, (2) the EKOS Software License Agreement (collectively the “Vendor Standard Terms”). The Vendor Standard Terms will apply to all purchases by any Participating Entity under this Contract. Any negotiated additional terms and conditions must never be less favorable to the Participating Entity than what is contained in this Contract.
