Additional Service Credit. Executive’s total years of service credit under each of the defined benefit retirement plans (including excess benefits plans) in which Executive participates upon the date of a Termination Upon Change of Control shall be increased by an additional one year of service credit, but in each case, not above the maximum number of years of service credit permitted under each such plan.

Additional Service Credit. If Executive's service with the Company extends to Executive's 65th birthday, then Executive, to the extent that the sum of 5 and the Executive's actual years of service is less than 30 at age 65, shall be credited with an additional number of years of service equal to 30 minus the sum of 5 and the Executive's actual years of service at age 65, provided however, that such additional years of credited service under this paragraph (c) shall not exceed 15. If Executive's employment is terminated before attaining age 65 pursuant to Sections 12(a), (b), (d), (e), or (f) within 2 years following a Change of Control, then Executive, to the extent the sum of 5 and Executive's actual years of service would have been less than 30 had Executive remained employed until age 65, shall be credited with an additional number of years of service equal to 30, minus the sum of 5 and the number of actual years of service Executive would have had at age 65, provided however, that such additional years of credited service shall not exceed 15.

To the extent that the Company determines that the crediting of additional service as described herein under a Company benefit plan will jeopardize the tax-qualified status of such plan or is otherwise not permissible under such plan, then such additional credits shall not be applied and the Company shall instead calculate and pay to Executive at the time set forth in Section 16.3.1 a lump sum cash payment equal to the value of any benefits which would have resulted from such additional forfeited service credits.
