Common use of Acting Jointly or in Concert Clause in Contracts

Acting Jointly or in Concert. For purposes of this Agreement, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding whether formal or informal, and whether or not in writing, with the first Person or any Associate or Affiliate of the first Person, acquires or makes an Offer to Acquire Voting Shares or Convertible Securities (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes of this Agreement, a Person is acting jointly or in concert with every another Person whoif the second Person, as a result of any agreement, commitment arrangement, or understanding understanding, whether formal or informal, informal and whether or not in writing, with the first Person or any Associate or Affiliate of the first Personthereof, acquires or makes an Offer offers to Acquire acquire Voting Shares or Convertible Securities (other than (A) customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering distribution of securities by way of prospectus or private placement of securities placement; or (B) pledges of securities in the ordinary course of business).

For the purposes of this Agreementhereof, and in addition to the meaning set forth in NI 62-104, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding understanding, whether formal or informal, and whether or not in writing, with the first Person or any Associate or Affiliate of the first Personthereof, acquires or makes an Offer offers to Acquire acquire Voting Shares or Convertible Securities (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).
