Common use of Acting Jointly or in Concert Clause in Contracts

Acting Jointly or in Concert. For purposes of this Agreement, a Person is acting jointly or in concert with every other Person who is a party to any agreement, commitment or understanding, whether formal or informal and whether or not in writing, with the first mentioned Person to acquire or Offer to Acquire Voting Shares and/or Convertible Securities (other than customary agreements with and between underwriters and/or members of banking groups and/or selling group members with respect to a distribution of securities pursuant to a prospectus or by way of a private placement and other than pursuant to pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For purposes of this Agreement, a Person is acting jointly or in concert with every other another Person who is a party to if such Person has any agreement, commitment arrangement or understanding, understanding (whether formal or informal and whether or not in writing, ) with the first mentioned such other Person to acquire acquire, or Offer to Acquire Voting Acquire, any Common Shares and/or Convertible Securities of the Corporation (other than (A) customary agreements with and between underwriters and/or members of and banking groups and/or group or selling group members with respect to a distribution of securities by way of prospectus or private placement, or (B) pursuant to a prospectus or by way of a private placement and other than pursuant to pledges pledge of securities in the ordinary course of business).

Acting Jointly or in Concert. For purposes of this Agreement, a Person is acting jointly or in concert with every other another Person who is a party to if such Person has any agreement, commitment arrangement or understanding, understanding (whether formal or informal and whether or not in writing, ) with the first mentioned such other Person to acquire acquire, or Offer to Acquire Voting Acquire, any Common Shares and/or Convertible Securities of the Corporation (other than (a) customary agreements with and between underwriters and/or members of and banking groups and/or group or selling group members with respect to a distribution of securities by way of prospectus or private placement, or (b) pursuant to a prospectus or by way of a private placement and other than pursuant to pledges pledge of securities in the ordinary course of business).

Acting Jointly or in Concert. For purposes of this Agreement, a Person is acting jointly or in concert with every other Person who is a party to any agreement, commitment or understanding, whether formal or informal and whether or not in writing, with the first mentioned Person for the purpose of acquiring or offering to acquire or Offer to Acquire Voting Shares and/or Convertible Securities (other than pursuant to an agreement contemplated by paragraph 1.1(d)(iv) hereof, or customary agreements with and between underwriters and/or members of banking groups group and/or selling group members with respect to a distribution of securities pursuant to a prospectus or by way of a private placement and other than pursuant to pledges of securities in the ordinary course of business).

For the purposes of this Agreement, a Person is acting jointly or in concert with every other Person who is a party to any an agreement, commitment or understanding, whether formal or informal and whether or not in writing, with the first mentioned Person Person, to acquire or to Offer to Acquire Voting Shares and/or or Convertible Securities in respect thereof (other than customary agreements with and between underwriters and/or members of and banking groups and/or group or selling group members with respect to a distribution of securities pursuant to a prospectus or by way of a private placement and other than pursuant to pledges (prospectus-exempt distribution) or a pledge of securities in the ordinary course of the pledgee’s business).

For the purposes of this Agreement, a Person is acting jointly or in concert with every other Person who is a party to any an arrangement, agreement, commitment or understanding, whether formal or informal and whether or not in writing, with the first mentioned Person (or any Affiliate or Associate of the first Person), to acquire or to Offer to Acquire Voting Shares and/or or Convertible Securities in respect thereof (other than customary agreements with and between underwriters and/or members of and banking groups and/or group or selling group members with respect to a distribution of securities of the Corporation (including, for greater certainty, by way of private placement of such securities) or pursuant to a prospectus or by way of a private placement and other than pursuant to pledges pledge of securities in the ordinary course of the pledgee's business).

For purposes of this Agreement, a Person is acting jointly or in concert with every other Person who is who, as a party to result of any agreement, arrangement, commitment or understanding, whether formal or informal and whether or not in writing, with the first mentioned Person or any Associate or Affiliate thereof, acquires or offers to acquire or Offer to Acquire Voting Shares and/or Convertible Securities (other than pursuant to customary agreements with and between underwriters and/or members of banking groups group and/or selling group members with respect to a distribution of securities pursuant to a prospectus or by way of a private placement and other than pursuant to pledges of securities in the ordinary course of business).
