Common use of Acting Jointly or in Concert Clause in Contracts

Acting Jointly or in Concert. For the purposes hereof, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, with the first Person or any Affiliate thereof, acquires or offers to acquire Voting Shares (other than customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or pledges of securities in the ordinary course of business).

Acting Jointly or in Concert. For the purposes hereofof this Agreement, a Person is acting jointly or in concert with every Person who, as who is a result of any party to an agreement, commitment or understanding, whether formal or informal, with the first Person or any Associate or Affiliate thereof, acquires or offers of the first Person to acquire or make an Offer to Acquire Voting Shares of the Corporation (other than customary agreements with and between underwriters and/or or banking group members and/or or selling group members with respect to a public offering or private placement distribution of securities or pledges to a pledge of securities in the ordinary course of business).

For the purposes hereof, a Person is acting jointly or in concert with every Person who, as a result of any agreement, commitment or understanding, whether formal or informal, and whether or not in writing, with the first Person or any Affiliate thereof, acquires or offers to acquire Voting Shares (other than (i) customary agreements with and between underwriters and/or banking group members and/or selling group members with respect to a public offering or private placement of securities or and (ii) pledges of securities in the ordinary course of business).
