Acknowledgment of Assignment. The Borrower shall use commercially reasonable efforts to procure that as soon as practicable after it receives a Notice of Assignment, the Manager shall deliver to the Collateral Agent an Acknowledgment of Assignment in substantially the form attached hereto or otherwise reasonably acceptable to the Collateral Agent.
Acknowledgment of Assignment. Tenant hereby acknowledges receipt of notice of the Assignment and agrees to be bound by the terms thereof and agrees that it will, upon Lender’s written demand therefor, thereafter pay directly to Lender all amounts thereafter payable by Tenant to the Landlord under the Lease.

That the Lessee upon the request of the Lessor shall execute such acknowledgment or acknowledgments, or any assignment, or assignments, of rentals and profits made by the Lessor to any third person, firm or corporation, provided that the Lessor will not make such request unless required to do so by the Mortgagee under a mortgage, or mortgages executed by the Lessor.

The Company shall use commercially reasonable efforts to procure that as soon as practicable after each other party to the Contracts receives a Notice of Assignment, such other party shall deliver to the Collateral Agent an Acknowledgment of Assignment in substantially the form attached hereto or otherwise reasonably acceptable to the Collateral Agent.
Acknowledgment of Assignment. The Company shall use commercially reasonable efforts to procure that as soon as practicable after KfW IPEX-Bank GmbH receives a Notice of Assignment, KfW IPEX-Bank GmbH shall deliver to the Delegate an Acknowledgment of Assignment in substantially the form attached hereto or otherwise reasonably acceptable to the Delegate.
Acknowledgment of Assignment the Administrative Agent shall have received from Omnipoint Services a written statement addressed to it in which Omnipoint Services (i) consents to the assignment by the Operating Subsidiary party to the Services Agreement of all of its right, title and interest in and to the Services Agreement (including, without limitation, the right to receive any monies due thereunder) to the Collateral Agent pursuant to the Collateral Documents, (ii) agrees not to cancel or terminate the Services Agreement except upon at least 90 days written notice to the Administrative Agent and (iii) agrees that the Administrative Agent or the Collateral Agent shall be entitled to make any payment or otherwise perform any obligation or cure any default of the Borrower or any of its Subsidiaries under the Services Agreement;
Acknowledgment of Assignment. As of the Closing Date, pursuant to this Assignment, the Depositor acknowledges its receipt of the Transferred Loans from the Loan Seller, the Issuing Entity acknowledges its receipt of the Closing Date Sold Assets from the Depositor, and the Indenture Trustee acknowledges the grant of a security interest in the Closing Date Sold Assets to it pursuant to the Indenture.
Acknowledgment of Assignment. Tenant acknowledges the assignment of Landlord's rights to collect Monthly Rent due under the Lease to Lender pursuant to a certain Assignment of Leases (the "Assignment"). Tenant shall, without duty of inquiry or investigation, pay Monthly Rent to Lender upon receipt of written notice from Xxxxxx that Xxxxxx has revoked the waiver of Landlord's right to collect the Monthly Rent from the Premises pursuant to the Assignment, notwithstanding the fact that Xxxxxx has not foreclosed the Deed of Trust, nor succeeded to the interest of Landlord under the Lease. Landlord hereby releases Tenant and Tenant shall not be liable to Landlord for any payments made to Lender hereunder.
Acknowledgment of Assignment. The Bank acknowledges that the Purchaser shall sell, transfer, assign or otherwise convey its rights in the Receivables to Stage Funding, subject to the terms and conditions of the Purchase and Sale Agreement and that Stage Funding shall sell, transfer or otherwise convey its rights in the Receivables to Bankers Trust Company, as trustee under the Pooling and Servicing Agreement. The Bank further acknowledges that Bankers Trust Company, as the trustee, may exercise directly the Purchaser's rights hereunder as allowed or provided for in the Pooling and Servicing Agreement.
Acknowledgment of Assignment. CFNA hereby ---------------------------- acknowledges and consents to the assignment by the Company of its rights under this Agreement to the Trustee on behalf of the Certificateholders pursuant to the Pooling and Servicing Agreement, which shall in no way limit the assignment set forth in Section 2.02(a).
