Acknowledgement of Representation. The Stockholder represents and warrants to the Company that the Stockholder was or had the opportunity to be represented by legal counsel and other advisors selected by Stockholder in connection with this Agreement. The Stockholder has reviewed this Agreement with his, her or its legal counsel and other advisors and understands the terms and conditions hereof.
Acknowledgement of Representation. The Executive and the Company acknowledge that they have been represented by counsel of their own choosing and have received a full and complete explanation of their rights and obligations under this Agreement and, therefore, in the event of a dispute over the meaning of this Agreement or any provision thereof, neither party shall be entitled to any presumption of correctness in favor of the interpretation advanced by such party or against the interpretation advanced by the other party.
Acknowledgement of Representation. It is acknowledged by each of the parties that the Stockholder Representative and the Company have retained Xxxxxx Xxxxxx LLP (“Schiff”) to act as their counsel in connection with this Agreement, the Ancillary Documents, the Confidentiality Agreement or any transaction contemplated hereby (the “Current Representation”), and that no other party to this Agreement has the status of a client of Schiff for conflict of interest or any other purposes as a result thereof.
Acknowledgement of Representation. Consultant acknowledges that she has had a full opportunity to consult with attorneys of her choice before signing this Agreement. Consultant acknowledges that she is not relying on any statements or representations made by the Clinic Executive Director, or any employees, representatives, officers, consultants, of the Clinic or the Municipality, or the Mayor, or Assembly members of the Borough, or any member of the Clinic Board, in entering this agreement, and she further acknowledges that she has not received and is not relying on any legal advice or representations by the Borough attorneys.
Acknowledgement of Representation. It is acknowledged by each of the Parties that the Purchased Companies and Sellers have retained Xxxxx Day to act as their counsel in connection with this Agreement, the Ancillary Documents, the Confidentiality Agreement or any transaction contemplated hereby or thereby (the “Current Representation”), and that no other Party to this Agreement has the status of a client of Xxxxx Day for conflict of interest or any other purposes as a result thereof.

The Stockholder has reviewed this Agreement with his, her or its legal counsel and other advisors and understands the terms and conditions hereof. The Stockholder understands, acknowledges and confirms that M. Xxxxxx Xxxx, Xxxx Xxxxx and Xxxxxxx Xxxxxxx & Xxxxxxxx LLP represented only the Company in connection with this Agreement. Xxxxxx Xxxxxxx Xxxxxxxx & Xxxxxx, P.C. represented only the Special Committee of the Board of Directors of the Company in connection with this Agreement.

The Shareholders have reviewed this Agreement with his, her or its legal counsel and other advisors and understands the terms and conditions hereof. The Shareholders understand, acknowledge and confirm that Xxxxx Xxxxxxxxxxx, Esq. of Xxxxxx Xxxxxxx & Xxxxxx LLP represented only the Company in connection with this Agreement.
Acknowledgement of Representation. EMPLOYEE acknowledges that they have a full opportunity to consult with attorneys of their choice before signing this Agreement. EMPLOYEE acknowledges that they are not relying on any statements or representations made by any employees, representatives, officers, consultants, the Mayor, or Assembly members of the Municipality in entering this agreement, and they further acknowledge that they have not received and are not relying on any legal advice or representations by the Borough attorneys.
