ACH Origination. Authorized Users of Business Customers who have been approved for ACH Origination privileges may edit, delete, or “un-approve” ACH transactions prior to the scheduled date for the transaction. Separate agreements will detail the required time-frames for submitting and making changes to ACH transactions. If ACH batch transactions have been approved and submitted to us for processing, you must contact us immediately if any changes are necessary after the designated cut-off time. In these situations, we may not have sufficient time to stop the transactions from processing before the schedule payment date.

ACH Origination. A. The Service will enable Company by using the Service Site to enter the Payroll Information and to approve and submit it to Provider for creation, formatting and transmission of Entries in accordance with the Rules (as defined below). Provider may reject any Payroll Information or Entry which does not comply with the requirements in this Agreement or the Rules or with respect to which Company’s Account does not contain sufficient available funds to pay for the Entry. If any Payroll Information or Entry is rejected, Provider will make a reasonable effort to notify Company promptly so that Company may correct such Payroll Information or request that the Provider correct the Entry and resubmit it. A notice of rejection will be effective when given. Provider will have no liability to Company by reason of the rejection of any Payroll Information or Entry, the fact that notice is not given at an earlier time than that provided for in this Agreement or for any loss resulting from Provider’s failure to provide notice. If Company requests that Provider repair an Entry on Company’s behalf, Provider may endeavor to do so; provided, however, that Provider will not be liable for its failure to make any requested repair.
ACH Origination. You agree to initiate credit and/or debit Entries as the Originator by means of the Automated Clearing House (“ACH”) Network pursuant to the terms of this Service Description and the rules of the National Automated Clearing House Association (“NACHA”) and the local Automated Clearing House Association (the “Rules”), and that we are willing to act as an Originating Depository Financial Institution (“ODFI”) with respect to such Entries. You further agree that you are bound by the provisions and requirements of the Rules and the applicable NACHA Operating Guidelines. Accordingly, you may submit ACH Entries to us in accordance with the terms and conditions of this Service Description. You are responsible for all Entries to the fullest extent provided by law and as set forth in this Service Description. Defined terms in this Service Description shall have the meaning provided in this Agreement and as defined in the Rules, unless otherwise defined in this Service Description. The term “Entry” or “Entries” shall have the meaning provided in the Rules and shall mean the data received from you hereunder from which we prepare Entries. Furthermore, except as otherwise provided in this Agreement, other capitalized terms in this Section shall have the meaning provided in the Rules.
ACH Origination. You may elect to use Security Tokens in lieu of a password to log in to Online Banking and gain access to Cash Management Services. You can make this election by notifying us at 000-000-0000. Bank may, in its sole discretion, use callbacks to verify instructions given to Bank. You agree that Bank’s use of callbacks is not required under this Agreement and the Bank’s failure to use callbacks to verify any request shall not be deemed to be a violation of the Security Procedures set forth in this Agreement. The Bank shall be entitled to rely on any written notice or other written communication believed by the Bank, in good faith to be genuine and to have been signed by the authorized user, and any such communication shall be deemed to have been signed by such person. Nothing contained in this Agreement shall obligate us to accept or execute your request(s), or an amendment or cancellation to the request, and we shall only be deemed to have accepted such request or its amendment or cancellation upon our execution thereof. Bank may, in its sole discretion, refuse to abide by any instructions from you in the event: (a) Bank has a good faith belief that the instructions are not authentic; (b) the instructions are incomplete; (c) the entry and/or identity of the authorized user cannot be verified in the sole and absolute discretion of Bank; (d) there are insufficient collected funds in the account to cover the instructions; or (e) any other condition or requirement for the processing of the instructions as set forth in this Agreement, any deposit agreement, or any funds transfer agreement between you and Bank, as amended, is unsatisfied. ACH Origination. If applicable, the Automated Clearing House ("ACH") Services offered through Online Banking will be governed by the ACH Origination Agreement that You previously executed. Uncollected funds may not be used for ACH.
ACH Origination. Upon our receipt and approval of any application and enrollment forms that we require, you may conduct ACH Origination transfers through Business online. You acknowledge receipt of a copy of the NACHA Operating Rules. You agree to comply with and be bound by the NACHA Operating Rules and acknowledge that entries may not be initiated that violate the laws of the United States. We agree to inform you of revisions to the NACHA Operating Rules of which we have knowledge. Terms not otherwise defined in this Exhibit A shall have the meanings ascribed to them in the NACHA Operating Rules.
ACH Origination. Transmittal of ACH Entries by Company. Company shall transmit ACH Entries to Bank and in compliance with the formatting and other parameters set forth in Schedule A and Schedule C attached hereto. The total dollar amount of ACH Entries transmitted by Bank shall not exceed the Company’s maximum limit, unless approved by Bank.

ACH Origination. On-Us ACH Entries. Except as provided in Section 8, Rejection of Entries, in the case of an ACH Entry received for deposit to an account maintained with Bank (an “On-Us ACH Entry”), Bank shall credit the Receiver’s account in the amount of such ACH Entry on the Effective Entry Date contained in such ACH Entry, provided the requirements set forth in clauses (i) and (ii) of ACH Origination: Processing, Transmittal and Settlement by Bank, Section 17(b) are met. If any of those requirements is not met, Bank shall use reasonable efforts to credit the Receiver’s account in the amount of such ACH Entry no later than the next business day following such Effective Entry Date, provided those requirements have been met.
ACH Origination. Notifications of Change. Bank shall notify Company of all notifications of change received by Bank relating to ACH Entries transmitted by Company by email or phone, no later than two (2) business days after receipt thereof.
