Common use of Accurate and Complete Disclosure Clause in Contracts

Accurate and Complete Disclosure. No representation or warranty made by any Borrower under this Agreement or any other Loan Document and no statement made by any Borrower or any of its Subsidiaries in any financial statement, certificate, report, exhibit or document furnished by any Borrower or any of its Subsidiaries to the Agent and/or any Lender pursuant to or in connection with this Agreement (including, without limitation, in connection with the Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

Accurate and Complete Disclosure. No representation or warranty made by any the Borrower under this Agreement Agreement, the Note or any the other Loan Document Documents and no statement made by any the Borrower or any of its Subsidiaries in any financial statementstatement (furnished pursuant to Sections 3.08 or 5.01 or otherwise), certificate, report, exhibit or document furnished by any the Borrower or any of its Subsidiaries to the Agent and/or any Lender pursuant to or in connection with this Agreement (including, without limitation, in connection with the Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by any the Borrower under this Agreement, the Notes, the Security Agreement or any the other Loan Document Documents and no statement made by any the Borrower or any of its Subsidiaries in any financial statementstatement (furnished pursuant to Sections 3.12 or 5.01 or otherwise), certificate, report, exhibit or document furnished by any the Borrower or any of its Subsidiaries to the Agent and/or any Lender pursuant to or in connection with this Agreement (including, without limitation, in connection with the Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by any the Borrower under this Agreement or any other Loan Document is, and no statement made by any the Borrower or any of its Subsidiaries in any financial statementstatement (furnished pursuant to Section 5.1(a) or otherwise), certificate, report, exhibit or document furnished by any the Borrower or any of its Subsidiaries to the Administrative Agent and/or any Lender or the Banks pursuant to or in connection with this Agreement (includingwill, without limitationat the time furnished, in connection with the Original Agreement) is be, false or misleading in any material respect (including including, without limitation, by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by any the Borrower under this Agreement Agreement, the Notes or any the other Loan Document Documents and no statement made by any the Borrower or any of its Subsidiaries in any financial statement, certificate, report, exhibit or document furnished by any the Borrower or any of its Subsidiaries to the Agent and/or any Lender pursuant to or in connection with this Agreement (including, without limitation, in connection with the Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by the Borrower or any Borrower Surety under this Agreement Agreement, the Notes, the Security Agreements or any the other Loan Document Documents and no statement made by any the Borrower or any of its Subsidiaries Surety in any financial statementstatement (furnished pursuant to Sections 3.12 or 5.01 or otherwise), certificate, report, exhibit or document furnished by any the Borrower or any of its Subsidiaries to the Agent and/or any Lender or the Banks pursuant to or in connection with this Agreement (including, without limitation, in connection with the Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by any Borrower under this Agreement or any other Loan Document and no statement made by any Borrower or any of its Subsidiaries Other Subsidiary in any financial statement, certificate, report, exhibit or document furnished by any Borrower or any of its Subsidiaries Other Subsidiary to the Agent and/or any Lender pursuant to or in connection with this Agreement (including, without limitation, in connection with the Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading) as of the date made (or hereafter remade, if applicable).

No representation or warranty made by the Borrower or any Borrower Surety under this Agreement Agreement, the Security Agreements or any the other Loan Document Documents and no statement made by any the Borrower or any of its Subsidiaries Surety in any financial statementstatement (furnished pursuant to Section 4.12 or 6.01 or otherwise), certificate, report, exhibit or document furnished by any the Borrower or any of its Subsidiaries to the Agent and/or any Lender Agents or the Lenders pursuant to or in connection with this Agreement (including, without limitation, in connection with the Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by any Borrower the Borrowers under this Agreement or any the other Loan Document Documents and no statement made by any Borrower or any of its Subsidiaries the Borrowers in any financial statementstatement (furnished pursuant to Sections 4.12 or 6.01 or otherwise), certificate, report, exhibit or document furnished by any the Administrative Borrower or any of its Subsidiaries to the Agent and/or any Lender pursuant to or in connection with this Agreement (including, without limitation, in connection with the Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).
