Accuracy of Representations and Performance of Covenants. The representations and warranties made by Tang Dynasty and the Stockholder in this Agreement were true when made and shall be true at the Closing Date. IMGL and the Stockholder shall have performed or complied with all covenants and conditions required by this Agreement to be performed or complied with by them prior to or at the Closing.
