Accuracy of Buyer’s Representations and Warranties. All of the representations and warranties of Buyer contained in this Agreement shall be true and correct in all material respects as of the date made as of the Closing.
Accuracy of Buyer’s Representations and Warranties. All representations and warranties by Buyer contained in this Agreement or in any written statement delivered by Buyer under this Agreement shall be true on and as of the Closing as though such representations and warranties were made on and as of that date.

Except as otherwise permitted by this Agreement, all representations and warranties by the Buyer contained in this Agreement or in any written statement delivered by the Buyer under this Agreement shall be true on and as of the Closing Date as though made on and as of that date.

The representations and warranties contained in ARTICLE V of this Agreement, disregarding all qualifications contained herein relating to materiality or Material Adverse Effect, shall be true and correct, in each case, solely with respect to the Second Closing and on and as of the Second Closing Date, with the same force and effect as though such representations and warranties had been made on the Second Closing Date (except, in each case, for such representations and warranties which, by their express provisions, are made as of an earlier date, in which case, as of such earlier date), except to the extent that the failure of such representations and warranties to be true and correct would not, individually or in the aggregate, have a Material Adverse Effect on Buyer; provided that the Buyer Fundamental Representations shall be true and correct in all respects (except for de minimis inaccuracies).
Accuracy of Buyer’s Representations and Warranties. The representations and warranties of BUYER shall be true and correct in all material respects as of the date when made and as of the Closing Date, as though made on and as of such date (except that representations and warranties that are made as of a specific date need be true in all material respects only as of such date);

The representations and warranties of Buyers contained in this Agreement, disregarding all qualifications contained herein relating to materiality or Material Adverse Effect, shall be true and correct in each case on and as of the Closing Date with the same force and effect as though such representations and warranties had been made on the Closing Date (except, in either case, for such representations and warranties which by their express provisions are made as of an earlier date, in which case, as of such earlier date), except to the extent that the failure of such representations and warranties to be true and correct would not, individually or in the aggregate, have a Material Adverse Effect on Buyers. Sellers shall have received a certificate signed by a duly authorized officer of Buyers confirming the foregoing as of the Closing Date.
Accuracy of Buyer’s Representations and Warranties. (i) The representations and warranties of Buyer contained in Section 5.1 (first two sentences), Section 5.2, Section 5.4(i), and Section 5.10 of this Agreement shall be true and correct in all material respects (except for representations or warranties that are qualified by materiality, including by reference to Material Adverse Effect, which shall be true and correct in all respects) on the date hereof and as of the Closing Date (other than representations and warranties made as of a specified date, in which case such representations and warranties shall be true and correct as of such specified date), and (ii) the representations and warranties of Buyer contained in all other Sections of Article V of this Agreement shall be true and correct in all respects (disregarding all qualifications contained therein relating to materiality, including by reference to Material Adverse Effect) on the date hereof and as of the Closing Date (other than representations and warranties made as of a specified date, in which case such representations and warranties shall be true and correct as of such date), except, in the case of clause (ii), to the extent that the failure of such representations and warranties to be true and correct would not constitute a Material Adverse Effect on the Buyer Group, and Seller shall have received a certificate from Buyer signed by a duly authorized officer of Buyer confirming the information in this Section 7.2(a) as of the Closing Date.
Accuracy of Buyer’s Representations and Warranties. All warranties by Buyer contained in this agreement or in any written statement delivered by Buyer under this agreement must be true on and as of the closing date as though such representations and warranties were made on and as of that date.
Accuracy of Buyer’s Representations and Warranties. Buyer’s representations and warranties set forth in Section 8 shall be true and correct in all material respects at the Close of Escrow.

All warranties by GetFugu Parent and GetFugu Sub contained in this Agreement or in any written statement delivered by GetFugu Parent or GetFugu Sub under this Agreement will be true on and as of the closing date as though such representations and warranties were made on and as of that date.
