Accrued rights and liabilities. 16.3.1 Notwithstanding anything to the contrary contained in this Agreement, any termination of the Agreement pursuant to the provisions contained herein shall be without prejudice to accrued rights of either Party including its right to claim and recover damages and other rights and remedies which it may have in law or contract. All accrued rights and obligations of either Party under this Agreement, including without limitation, all rights and obligations with respect to Termination Compensation, shall survive the termination of this Agreement, to the extent such survival is necessary for giving effect to such rights and obligations.

Any termination of this Agreement (whether upon the scheduled expiration date or as earlier provided in this Article 3) shall be without prejudice to the accrued rights and liabilities (with respect to payments or otherwise) of the Parties as set forth herein as of the applicable termination date.

In respect of Brandwatch for Agencies accounts, if the Initial Term or Renewal Term of this Agreement ends and is not extended, for whatever reason, any Agency Client whose contract term with you (“Agency Client Term”) continues beyond the date of expiry of the Initial Term or Renewal Term will continue to receive the Services until expiry of their Agency Client Term. During the Agency Client Term, you will have no right to use the Services yourself, but will remain responsible for all Fees in respect of such Agency Clients.
Accrued rights and liabilities. This Agreement does not affect any rights or liabilities which have accrued to SmartEncrypt before termination, nor any liabilities which may arise from damages deriving from a breach of this Agreement before termination.
