Accounts and Notes Receivable and Payable. (a) All accounts and notes receivable of Sellers and the Operating Subsidiaries have arisen from bona fide transactions in the Ordinary Course of Business, and in the case of accounts and notes receivable that are not Excluded Assets, are payable on ordinary trade terms and are reflected on the books and records of Sellers and the Operating Subsidiaries in accordance with GAAP consistently applied, including reserves for returns and doubtful accounts.
