Common use of Accountholder’s Indemnification Obligation Clause in Contracts

Accountholder’s Indemnification Obligation. You understand and agree that you are required to indemnify us and hold us harmless against any and all claims, actions, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees and expenses arising from your use of the Services and/or breach of this Disclosure and Agreement. You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and agree that this paragraph shall survive the termination or expiration of this Agreement. You understand and agree that you are required to indemnify our technology partners, including but not limited to Intuit, Inc. (Intuit) NCR and Vertifi Software, LLC (Vertifi), our other Service Providers and hold harmless Intuit, its their affiliates, officers, employees and agents, as well as Vertifi, its affiliates, officers, employees, and agents, agents from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to FI REV or End User’s your use of the Services, Vertifi or Intuit Applications, Services unless such claim directly results from an action or omission made by Intuit or Vertifi the Service Provider in bad faith. You understand and agree that this paragraph shall survive the termination or expiration of this General Agreement and applicable Service Agreement.

You understand and agree that this paragraph shall survive the termination of this Agreement.

(ASI), its affiliates, officers, employees and agents, as well as VertifiInsight Data Services (IDS), its affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to FI Financial Institution or End User’s 's use of the Services, Vertifi Automated Systems, Inc. (ASI) or Intuit ApplicationsInsight Data Services (IDS), unless such claim directly results from an action or omission made by Intuit Automated Systems, Inc. (ASI) or Vertifi Insight Data Services (IDS) in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and I also agree that you are required to indemnify our technology partners, including including, but not limited limited, to IntuitWausau Financial Systems, Inc. (Intuit) and Vertifi Software, LLC (Vertifi“Provider”), and hold harmless Intuit, its the affiliates, officers, employees and agents, as well as Vertifi, its affiliates, officers, employees, and agents, agents of the Providers from and against any third party claims, suits, proceedings, actions actions, or demands, including to claims of another financial institution, business entity entity, or governmental authority, and all losses, liabilities, damages, fines, penalties, costs costs, and expenses, including court costs and reasonable attorney attorneys’ fees and expenses, arising from such claims, to the extent such claim is related to FI or End User’s my use of Mobile Deposit applications related to the Services, Vertifi or Intuit ApplicationsService, unless such claim directly results from an action or omission made by Intuit or Vertifi of the Providers in bad faith. Digital Insight (IntuitDigital Insight) and Vertifi Software, LLC (Vertifi), and hold harmless IntuitDigital Insight, its affiliates, officers, employees employees, and agents, as well as Vertifi, its it’s affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions actions, or demands, including to claims of another financial institution, business entity entity, or governmental authority, and all losses, liabilities, damages, fines, penalties, costs costs, and expenses, including court costs and reasonable attorney attorneys’ fees and expenses, arising from such claims, to the extent such claim is related to FI IU Credit Union or End User’s your use of the ServicesService, Vertifi or Intuit Digital Insight Applications, unless such claim directly results from an action or omission made by Intuit or Vertifi in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and agree that this paragraph shall survive the termination of this Agreement. You understand agree to indemnify, defend and agree that you are required to indemnify hold harmless our technology partners, including but not limited to IntuitFiserv, Inc. (Intuit) and Vertifi SoftwareVSoft Corp., LLC (Vertifi), and hold harmless IntuitFiserv Inc., its affiliates, officers, employees and agents, as well as VertifiVSoft Corp., its affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to FI or End User’s use of the Services, Vertifi VSoft Corp. or Intuit Fiserv, Inc. Applications, unless such claim directly results from an action or omission made by Intuit Fiserv, Inc. or Vertifi VSoft Corp. in bad faith. You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and agree that this paragraph shall survive the termination of this Agreement.

You understand and agree that this paragraph shall survive the termination of this Agreement.

(Intuit) and Vertifi Software, LLC (Vertifi), and hold harmless Intuit, its affiliates, officers, employees and agents, as well as Vertifi, its affiliates, officers, employees, and agents, from and against any third party claims, suits, proceedings, actions or demands, including to claims of another financial institution, business entity or governmental authority, and all losses, liabilities, damages, fines, penalties, costs and expenses, including court costs and reasonable attorney fees and expenses, arising from such claims, to the extent such claim is related to FI us or End User’s your use of the ServicesMobile Deposit, or any Vertifi or Intuit ApplicationsApplications relating thereto, unless such claim directly results from an action or omission made by Intuit or Vertifi in bad faith.
