Common use of Account Verification Clause in Contracts

Account Verification. Whether or not a Default or Event of Default or a Cash Dominion Event exists, the Administrative Agent shall have the right at any time, in the name of the Administrative Agent, any designee of the Administrative Agent or any Loan Party, to verify the validity, amount or any other matter relating to any Accounts of the Loan Party by mail, telephone or otherwise. The Loan Parties shall cooperate fully with the Administrative Agent in an effort to facilitate and promptly conclude any such verification process.

Account Verification. Whether or not a Default or Event of Default or a Cash Dominion Event exists, the Administrative Agent shall have the right at any time, in the name of the Administrative Agent, any designee of the Administrative Agent or (during the continuance of any Loan PartyEvent of Default) any Borrower, to verify the validity, amount or any other matter relating to any Accounts of the Loan Party Borrowers by mail, telephone or otherwise. The Loan Parties Borrowers shall cooperate fully with the Administrative Agent in an effort to facilitate and promptly conclude any such verification process.

Account Verification. Whether or not To the extent that a Specified Default or Event of Default or a Cash Dominion Event existshas occurred and is continuing, the Administrative Agent shall have the right at any time, in accordance with the Administrative Agent’s customary practice in administering asset-based financing similar to the financing hereunder, in the name of the Administrative Agent, any designee of the Administrative Agent or any Loan Party, to verify the validity, amount or any other matter relating to any Accounts of the Loan Party Parties by mail, telephone or otherwise. The Loan Parties shall cooperate fully with the Administrative Agent in an effort to facilitate and promptly conclude any such verification process.

Whether or not a Default or Event of Default or a Cash Dominion Event exists, the Administrative Agent shall have the right at any time, in the name of the Administrative Agent, any designee of the Administrative Agent Agent, or any Loan PartyBorrower, to verify the validity, amount or any other matter relating to any Accounts Receivables of the Loan Party any Borrower by mail, telephone or otherwise. The Loan Parties Administrative Agent shall use reasonable efforts to notify the Borrower Agent of such action, and each Borrower Party shall cooperate fully with the Administrative Agent in an effort to facilitate and promptly conclude any such verification process.

Whether The Administrative Agent’s officers, employees or not a Default agents shall have the right, at any time or times if an Event of Default or a Cash Dominion Event exists, the Administrative Agent shall have the right at any timehas occurred and is continuing, in the name of the Administrative Agent, any designee of the Administrative Agent or any Loan Party, to verify the validity, amount or any other matter relating to any Accounts of the any Loan Party by mail, telephone telephone, electronic communication or otherwise. The Loan Parties shall cooperate fully with the Administrative Agent in an effort to facilitate and promptly conclude any such verification process.

Whether Any of Administrative Agent’s officers, employees or not a Default agents shall have the right, at any time or times hereafter that an Event of Default or a Cash Dominion Event exists, the Administrative Agent shall have the right at any timeoccurred and be continuing, in the name of the Administrative Agent, any designee of the Administrative Agent or any Loan Credit Party, to verify the validity, amount or any other matter relating to any Accounts of the Loan Party by mail, telephone telephone, electronic communication or otherwise. The Loan Credit Parties shall cooperate fully with the Administrative Agent in an effort to facilitate and promptly conclude any such verification process.
