Common use of Account Verification Clause in Contracts

Account Verification. Whether or not a Default or Event of Default exists, Agent shall have the right at any time, in the name of Agent, any designee of Agent or any Borrower, to verify the validity, amount or any other matter relating to any Accounts of Borrowers by mail, telephone or otherwise. Borrowers shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Account Verification. Whether or not a Default or Event of Default exists, Agent shall have the right at any time, in the name of Agent, any designee of Agent or any BorrowerObligor, to verify the validity, amount or any other matter relating to any Accounts of Borrowers Obligors by mail, telephone or otherwise. Borrowers Obligors shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Whether Concurrently with any field examination or not a Default or upon the occurrence and during the continuation of an Event of Default existsDefault, Agent shall have the right at any time, in the name of Agent, any designee of Agent or any Borrower, to verify the validity, amount or any other matter relating to any Accounts of Borrowers by mail, telephone or otherwise. Borrowers shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Account Verification. Whether or not a Default or Event of Default exists, Agent shall have the right at any time, in the name of Agent, any designee of Agent Agent, Borrower or any BorrowerBorrowing Base Guarantor, to verify the validity, amount or any other matter relating to any Accounts of Borrowers Borrower or any Borrowing Base Guarantor by mail, telephone or otherwise. Borrowers Borrower and each Borrowing Base Guarantor shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Borrowers Borrower shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Borrowers Obligors shall use commercially reasonable efforts to cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Whether Agent shall have the right at any time, (i) whether or not a Default or Event of Default exists, Agent shall have in the right at name of any timeBorrower or (ii) solely while a Default or Event of Default exists, in the name of Agent, Agent or any designee of Agent or any BorrowerAgent, to verify the validity, amount or any other matter relating to any Accounts of Borrowers by mail, telephone or otherwise. Borrowers shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Borrowers The Loan Parties shall cooperate fully with any Agent in an effort to facilitate and promptly conclude any such verification process.

Whether or not a Default or Event of Default exists, the Agent shall have the right at any time, in accordance with the name of Agent, any designee of Agent or any Borrower, to verify the validity, amount or any other matter relating to any Accounts of Borrowers by mail, telephone or otherwise. So long as no Default or Event of Default exists, verifications of Accounts shall be conducted at the sole cost and expense of Agent and the Lenders. Whether Agent, through its officers, employees or not a Default or Event of Default existsagents, Agent shall have the right right, at any time and from time to time, in the name of any Borrower or, at any time after the occurrence and during the continuance of an Event of Default, in Agent, any designee of Agent ’s or any Borrowerits nominee’s own name, to verify the validity, amount or any other matter relating to any Accounts of Borrowers Borrowers’ Accounts, by mail, telephone telephone, telegraph or otherwise. Borrowers Loan Parties shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Whether or not a Default or Event of Default exists, Agent shall have the right at any time, in the name of Agent, any designee of Agent or any Borrower, to verify the validity, amount or any other matter relating to any Accounts of Borrowers Max-Trac by mail, telephone or otherwise. Borrowers shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Borrowers Borrower and or any Subsidiary Guarantors shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Whether or not a Default or Event of Default exists, Agent shall have the right at any time, in the name of Agent, any designee of Agent or (during the continuance of any Event of Default) any Borrower, to verify the validity, amount or any other matter relating to any Accounts of Borrowers by mail, telephone or otherwise. Borrowers shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

Parent and Borrowers shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification processprocess and Agent will, if any such verification is being conducted when no Event of Default exists, use reasonable efforts to inform Borrower Agent that Agent plans to conduct such verification.

Whether or not a Default or If an Event of Default exists, Agent shall have the right at any time, in the name of Agent, Agent or any designee of Agent or any Borrower, Obligor to verify the validity, amount or any other matter relating to any Accounts of Borrowers Obligors by mail, telephone or otherwise. Borrowers Obligors shall cooperate fully with Agent in an its effort to facilitate and promptly conclude any such verification process.

Account Verification.
