Access to Records and Property. The awardee agrees to provide access to all property records associated with the agreement to the authorized NSF representatives during reasonable times at the office of the awardee. In addition, access to any premises where Federally-owned property is located will be provided for the purpose of inspecting such property.
Access to Records and Property. At any time and from time to time, upon reasonable notice and during normal business hours, Borrower shall give any representatives or designees of Lender reasonable access to its properties, and permit any of them to, examine, audit, copy or make extracts from, any and all books, records and documents in the possession of Borrower or any independent contractor relating to Borrower's affairs and the Collateral, and to inspect any of its properties wherever located, all at Borrower's expense. Notwithstanding the foregoing, no such prior notice shall be required to be given in the event Lender believes such access is necessary to preserve or protect the Collateral, or following the occurrence and during the continuance of an Event of Default.

At any time and from time to time, upon request by the Bank, the Borrower shall give any representatives of the Bank access during normal business hours to, and permit any of them to examine, audit, copy or make extracts from, any and all books, records and documents in the possession of the Borrower or any independent contractor relating to the Borrower's affairs and the Collateral, and to inspect any of its properties wherever located. Fees and expenses for said examinations and audits are to be paid by the Borrower to the Bank.

At any time and from time to time, upon request by the Bank which, in the absence of a Default or an emergency situation, shall be made not less than three Business Days' prior to the requested access, and at the Borrower's expense, give any representative of the Bank access during normal business hours to inspect and audit the Collateral and the Borrower's other property and to examine, copy and make extracts from the Borrower's books and records, and provided further, as long as no Default has occurred and is continuing, the Bank shall limit such requests to twice in any Fiscal Year.

At any time and from time to time, upon the request by Xxxxxx, FOHP shall give the representatives of Xxxxxx access during normal business hours to, and permit any of them to examine, audit, copy or make extracts from, any and all books, records and documents in the possession of FOHP or any independent contractor relating to FOHP's affairs, except for confidential information or materials or minutes of meetings of the Board of Directors.

At any time and from time to time, upon request by Lender (but not in excess of four (4) times annually unless in the opinion of Lender, the Borrower's financial condition or the Collateral is deteriorating in which case there shall be no limitation on the number of reviews by the Lender), give any representative of Lender access during normal business hours to inspect any of Borrower's properties and to examine, copy and make extracts from any and all books, records and documents in the possession of Borrower or any independent contractor relating to Borrower's affairs or the Collateral (including without limitation returns for federal income tax and other taxes).
Access to Records and Property. Upon reasonable prior written notice, Exelixis shall give any representatives of GSK or independent contractors selected by GSK reasonable access during normal business hours (and after an Event of Default and while it is continuing at any time) to examine, audit, copy or make extracts from, any and all books, records and documents in its possession relating to the Collateral and to inspect any of its properties wherever located.
Access to Records and Property. At any time and from time to time, upon the request by Agent at least five (5) banking days notice to Borrower (absent a Default), they are to give any representatives of Agent or independent contractor selected by Agent access during normal business hours (and after Default at any time) to examine, audit, copy or make extracts from, any and all books, records and documents in their possession relating to their affairs and the Collateral, and to inspect any of their properties wherever located at the expense of Borrower, payable upon demand by Agent. From time to time with at least fifteen (15) days prior notice to Borrower (absent a Default), but not more than three (3) times per year (and after Default at any time), Agent may conduct a field examination and appraisal of the Collateral. Agent may engage the services of an appraiser in providing the current appraisal which expense is to be paid by Borrower upon demand by Agent. All such expenses relating to the foregoing are payable by the Borrower upon demand and are part of the Debt.
