Common use of Access to Receivable Files Clause in Contracts

Access to Receivable Files. The Trustee shall permit the Servicer access to the Receivable Files at all reasonable times during the Trustee’s normal business hours. The Trustee shall, within two Business Days of the request of the Servicer or the Owner Trustee, execute such documents and instruments as are prepared by the Servicer or the Owner Trustee and delivered to the Trustee, as the Servicer, the Owner Trustee deems necessary to permit the Servicer, in accordance with its customary servicing procedures, to enforce the Receivable on behalf of the Trust and any related insurance policies covering the Obligor, the Receivable or Financed Vehicle so long as such execution in the Trustee’s sole discretion does not conflict with this Agreement and will not cause it undue risk or liability. The Trustee shall not be obligated to release any document from any Receivable File unless it receives a release request signed by a Servicing Officer in the form of Exhibit C hereto (the “Release Request”). Such Release Request shall obligate the Servicer to return such document(s) to the Trustee when the need therefor no longer exists unless the Receivable shall be liquidated, in which case, the Servicer shall certify in the Release Request that all amounts required to be deposited in the Collection Account with respect to such Receivable have been so deposited.

The Trustee shall not be obligated to release any document from any Receivable File unless it receives a release request trust receipt signed by a Servicing Officer in the form of Exhibit C B hereto (the “Release Request”"Trust Receipt"). Such Release Request Trust Receipt shall obligate the Servicer to return such document(s) to the Trustee when the need therefor no longer exists unless the Receivable shall be liquidated, in which case, the Servicer shall certify upon receipt of a certificate of a Servicing Officer substantially in the Release Request form of Exhibit C hereto to the effect that all amounts required to be deposited in the Collection Account with respect to such Receivable have been so deposited, the Trust Receipt shall be released by the Trustee to the Servicer.

The Trustee shall not be obligated to release any document from any Receivable File unless it receives a release request trust receipt signed by a Servicing Officer in the form of Exhibit EXHIBIT C hereto (the “Release Request”"SERVICER RECEIPT"). Such Release Request Servicer Receipt shall obligate the Servicer to return such document(s) to the Trustee when the need therefor no longer exists unless the Receivable shall be liquidated, in which case, the Servicer shall certify upon receipt of a certificate of a Servicing Officer substantially in the Release Request form of EXHIBIT C hereto to the effect that all amounts required to be deposited in the Collection Account with respect to such Receivable have been so deposited, the Servicer Receipt shall be released by the Trustee to the Servicer.

The Trustee shall, within two Business Days of the request of the Servicer or the Owner TrusteeNoteholder, execute such documents and instruments as are prepared by the Servicer or the Owner Trustee Noteholder and delivered to the Trustee, as the Servicer, Servicer or the Owner Trustee Noteholder deems necessary to permit the Servicer, in accordance with its customary servicing procedures, to enforce the Receivable on behalf of the Trust Purchaser and any related insurance policies covering the Obligor, the Receivable or Financed Vehicle so long as such execution in the Trustee’s 's sole discretion does not conflict with this Agreement or the Indenture and will not cause it undue risk or liability. The Trustee Collateral Agent shall permit the Servicer and the Notice Parties access to the Receivable Files at all reasonable times during the Trustee’s Collateral Agent's normal business hours. The Trustee Collateral Agent shall, within two Business Days of at the request of the Servicer or the Owner Trusteeany Notice Party, execute such documents and instruments as are prepared by the Servicer or the Owner Trustee any Notice Party and delivered to the TrusteeCollateral Agent, as the Servicer, the Owner Trustee Servicer or any Notice Party deems necessary to permit the Servicer, in accordance with its customary servicing procedures, to enforce the Receivable on behalf of the Trust and any related insurance policies covering the Obligor, the Receivable or Financed Vehicle so long as such execution in Equipment on behalf of the Trustee’s sole discretion does not conflict with this Agreement Borrower and will not cause it undue risk or liabilitythe Secured Parties. The Trustee Collateral Agent shall not be obligated to release any document from any Receivable File unless it receives a release request trust receipt signed by a Servicing Officer in the form of Exhibit C D-1 hereto (the “Release Request”"Trust Receipt"). Such Release Request Trust Receipt shall obligate the Servicer to return such document(s) to the Trustee Collateral Agent when the need therefor no longer exists unless the Receivable shall be liquidated, in which case, the Servicer shall certify upon receipt of a certificate of a Servicing Officer substantially in the Release Request form of Exhibit D-2 hereto to the effect that all amounts required to be deposited in the Collection Account with respect to such Receivable have been so deposited, the Trust Receipt shall be released by the Collateral Agent to the Servicer.

Such Release Request Trust Receipt shall obligate the Servicer to return such document(s) to the Trustee when the need therefor no longer exists unless the Receivable shall be liquidated, in which case, the Servicer shall certify upon receipt of a certificate of a Servicing Officer substantially in the Release Request form of Exhibit D hereto to the effect that all amounts required to be deposited in the Collection Account with respect to such Receivable have been so deposited, the Trust Receipt shall be released by the Trustee to the Servicer.

The Trustee shall, within two Business Days of the request of the Servicer or the Owner TrusteeControlling Party, execute such documents and instruments as are prepared by the Servicer or the Owner Trustee Controlling Party and delivered to the Trustee, as the Servicer, Servicer or the Owner Trustee Controlling Party deems necessary to permit the Servicer, in accordance with its customary servicing procedures, to enforce the Receivable on behalf of the Trust Purchaser and any related insurance policies covering the Obligor, the Receivable or Financed Vehicle so long as such execution in the Trustee’s 's sole discretion does not conflict with this Agreement or the Indenture and will not cause it undue risk or liability. The Trustee shall not be obligated to release any document from any Receivable File unless it receives a release request signed by a Servicing Officer in the form of Exhibit EXHIBIT C hereto (the “Release Request”"RELEASE REQUEST"). The Trustee Receivable Bailee shall permit the Servicer and the Administrator access to the Receivable Files at all reasonable times during the Trustee’s Receivable Bailee's normal business hours. The Trustee Receivable Bailee shall, within two Business Days of at the request of the Servicer or the Owner TrusteeAdministrator, execute such documents and instruments as are prepared by the Servicer or the Owner Trustee Administrator and delivered to the TrusteeReceivable Bailee, as the Servicer, Servicer or the Owner Trustee Administrator deems necessary to permit the Servicer, in accordance with its customary servicing procedures, to enforce the Receivable on behalf of the Trust Purchaser and any related insurance policies covering the Obligor, the Receivable or Financed Vehicle so long as such execution in the Trustee’s Receivable Bailee's sole discretion does not conflict with this Agreement and will not cause it undue risk or liability. The Trustee Receivable Bailee shall not be obligated to release any document from any Receivable File unless it receives a release request trust receipt signed by a Servicing Officer in the form of Exhibit C D-1 hereto (the “Release Request”"Trust Receipt"). Such Release Request Trust Receipt shall obligate the Servicer to return such document(s) to the Trustee Receivable Bailee when the need therefor no longer exists unless the Receivable shall be liquidated, in which case, the Servicer shall certify upon receipt of a certificate of a Servicing Officer substantially in the Release Request form of Exhibit D-2 hereto to the effect that all amounts required to be deposited in the Collection Account with respect to such Receivable have been so deposited, the Trust Receipt shall be released by the Receivable Bailee to the Servicer.

Access to Receivable Files. The Trustee shall permit the Servicer and the Controlling Party access to the Receivable Files upon two Business Days prior notice at all reasonable times during the Trustee’s 's normal business hours. The Trustee shall, within two Business Days of the request of the Servicer or the Owner TrusteeControlling Party, execute such documents and instruments as are prepared by the Servicer or the Owner Trustee Insurer and delivered to the Trustee, as the Servicer, Servicer or the Owner Trustee Insurer deems necessary to permit the Servicer, in accordance with its customary servicing procedures, to enforce the Receivable on behalf of the Trust Purchaser and any related insurance policies covering the Obligor, the Receivable or Financed Vehicle so long as such execution in the Trustee’s 's sole discretion does not conflict with this Agreement or the Indenture and will not cause it undue risk or liability. The Trustee shall not be obligated to release any document from any Receivable File unless it receives a release request trust receipt signed by a Servicing Officer in the form of Exhibit C hereto (the “Release Request”"Servicer Receipt"). The Trustee Custodian shall permit the Servicer and the Administrator access to the Receivable Files at all reasonable times during the TrusteeCustodian’s normal business hours. The Trustee Custodian shall, within two (2) Business Days of the request of the Servicer or the Owner TrusteeAdministrator, execute such documents and instruments as are prepared by the Servicer or the Owner Trustee Administrator and delivered to the Trustee, Custodian as the Servicer, Servicer or the Owner Trustee Administrator deems necessary to permit the Servicer, in accordance with its customary servicing proceduresthe Servicing Standard, to enforce the Receivable Pledged Receivables on behalf of the Trust Borrower and any related insurance policies Insurance Policies covering the Obligor, the Receivable Pledged Receivables or Financed Vehicle Vehicles so long as such execution in the TrusteeCustodian’s sole discretion does not conflict with this Agreement and will not cause it undue risk or liability. The Trustee Custodian shall not be obligated to release any document from any Receivable File unless it receives a release request Release Request signed by a Servicing Officer in and countersigned by the form of Exhibit C hereto (the “Release Request”)Administrator. Such Release Request shall obligate the Servicer to return such document(s) to the Trustee Custodian when the need therefor no longer exists unless the related Pledged Receivable shall be liquidated, in which case, the Servicer shall certify in the Release Request that all amounts required to be deposited in the Collection Account with respect to such Receivable have been or will upon receipt be so deposited.
