Access by County. County reserves the right for County and its authorized representatives to enter the Premises upon two (2) business days’ prior written notice to Tenant, during normal business hours, in order to determine whether Tenant is complying with Xxxxxx’s obligations hereunder, or to enforce any rights given to County under this Lease. County and its representatives shall report to the Tenant’s on-site office and must be accompanied by a representative of Tenant at all times while on the Property and obey Tenant’s rules and regulations. Tenant acknowledges County have the authority to enter the Premises and perform work on the Premises at any time as needed to provide immediate or necessary protection for the general public. County will take all necessary measures not to unreasonably interfere with Xxxxxx’s business at the Premises in exercising its rights under this Section. County shall indemnify and hold Tenant harmless from and against any loss, cost, damage or liability, including, without limitation, attorneys’ fees, which results from County’s willful misconduct or gross negligence, or willful misconduct or gross negligence committed by any party acting under County’s authority, of the rights granted by this Section 4.5.

County shall take all necessary measures not to unreasonably interfere with Tenant’s or any subtenant’s business at the Premises in exercising its rights under this Section.
Access by County. County reserves for itself and any of its designated Agents, the right to enter the Premises as follows: (i) on a regular basis without advance notice to supply any necessary or agreed-upon service to be provided by County hereunder; (ii) on an occasional basis, at all reasonable times after giving Licensee reasonable advance written or oral notice, to show the Premises to prospective Licensees or other interested parties, to post notices of non-responsibility, to conduct any environmental audit of Licensee's use of the Premises, to repair, alter or improve any part of the Building, Building Systems or the Premises, and for any other lawful purpose; and (iii) on an emergency basis without notice whenever County believes that emergency access is required. County shall have the right to use any means that it deems proper to open doors in an emergency in order to obtain access to any part of the Premises, and any such entry shall not be construed or deemed to be a forcible or unlawful entry into or a detainer of, the Premises, or an eviction, actual or constructive, of Licensee from the Premises or any portion thereof. Licensee shall not alter any lock or install any new or additional locking devices without the prior written consent of County. All locks installed in the Premises (excluding Licensee's vaults, safes or special security areas, if any, designated by Licensee in writing to County) shall be by keyed to the Building master key system, and County shall at all times have a key with which to unlock all such doors. County rights to access shall be subject to State and federal laws concerning privacy.

Access by County. Tenant agrees to permit the County or its authorized agents free access to any part of the Premise upon advance written, telephonic, or facsimile notice of one (1) business day, or sooner if Xxxxxx agrees, for the purpose of inspection or performance of any County obligation hereunder. In the event of an emergency, including for any emergency repairs that are the responsibility of the County hereunder, no advance notice shall be required; provided, however, that the County will use its best efforts to notify Tenant as soon as possible of its intent to access the Premises.

Access by County. It is understood and agreed that the Director of Public Works and his designees shall have full and complete access to all of the premises herein described. Any deficiencies in the operation noted by the County shall be immediately corrected to the satisfaction of the Director of Public Works.

COUNTY, through its Sheriff-Coroner and deputies, officers and employees, 24 hereinafter referred to as “SHERIFF”, shall render to CITY law enforcement 25 services as hereinafter provided.   • Termination by County In addition to any other termination rights set out herein, this Agreement may be revoked and terminated at any time by County if such revocation and termination is reasonably required by the public interest (as hereinafter set forth), after providing fifteen (15) days written notice to the Licensee.   • ENHANCED AND SUPPLEMENTAL SERVICES BY COUNTY (Continued) 2 ongoing services that SHERIFF otherwise would provide to CITY pursuant to 3 this Agreement. Such supplemental services shall be provided only by 4 regularly appointed full-time peace officers, at rates of pay governed by a 5 Memorandum of Understanding between COUNTY and the bargaining unit 6 representing the peace officers providing the services. Such supplemental 7 services shall include only law enforcement duties and shall not include 8 services authorized to be provided by a private patrol operator, as defined in 9 Section 7582.1 of the Business and Professions Code. Law enforcement 10 support functions, including, but not limited to, clerical functions and forensic 11 science services, may be performed by non-peace officer personnel if the 12 services do not involve patrol or keeping the peace and are incidental to the 13 provision of law enforcement services. CITY shall reimburse COUNTY its 14 full, actual costs of providing such supplemental services at an amount 15 computed by SHERIFF, based on the current year's COUNTY law 16 enforcement cost study. The cost of these supplemental services shall be in 17 addition to the Maximum Obligation of CITY set forth in Subsection G-2 of 18 this Agreement. Such officers or representatives shall not enter any work location without the consent of the City Manager. Access shall be restricted so as not to interfere with the normal operations of the department or with established safety or security requirements.
