Access and Reporting. The City shall permit the representatives of the Bank at any time or from time to time during normal business hours and upon reasonable notice (which shall be not less than five (5) Business Days) and as often as the Bank may reasonably request to inspect all of its properties, books and records of the Water System and make copies thereof or extracts therefrom (except copies or extracts of records and books of accounts containing information that is not otherwise publicly available), and to discuss from time to time the affairs, finances and accounts of the Water System with its officers and its independent public accountant. The City shall maintain a system of accounting established and administered in accordance with GAAP reflecting all financial transactions of the Water System and the Water
Access and Reporting. The Parties agree that communication and transparency will facilitate cooperation between them in furtherance of the common goal of supporting education through interscholastic athletic activities. The Parties therefore agree as follows:

The Authority, at its expense, shall furnish or cause to be furnished to the Bank the following:

Developer shall furnish or cause to be furnished to Authority the following:

(a) During the Interim Period, Purchaser may from time to time request reasonable access to additional information with respect to the Assets as mutually determined by the Parties for the purpose of transition of the Assets to Purchaser; provided that (i) such requests by Purchaser shall not unduly interfere with the business and operations of the Assets, (ii) the information requested is in the form normally maintained by Sellers with respect to the Assets, (iii) such requests are coordinated through the applicable representatives of Sellers to be designated in connection with the Interim Period transition to be implemented between the Parties, (iv) approval of such requests shall be at the discretion of the management of the Sites, (v) any approval granted may be revoked by Sellers at any time, (vi) any representative of Purchaser given access to any of the Sites shall fully comply with all policies and procedures of Sellers, and (vii) Sellers shall have no liability whatsoever in connection with any access by any of the representatives of Purchaser and Purchaser shall indemnify, hold harmless and defend Sellers’ Indemnified Parties against any claim, Liability or Loss of whatever nature (including legal costs relating thereto) arising from any access granted to any representative of Purchaser for the Sites of Sellers or their Affiliates.

Access and Reporting. Host Facility Owner will provide to IPC’s Contractor access to its site for the purposes of performing all site and site-related design, construction, and associated permitting activities in connection with the PV System Installation. Additionally, Host Facility Owner acknowleges and agrees that IPC, IPC’s Contractor and any of IPC’s or IPC’s Contractor’s employees, inspectors, subcontractors, representatives shall have access to the area in an around the work site at all times during the PV System Installation. Furthermore, Host Facility Owner acknowleges and agrees that the work site area will be kept free of any and all debris on a daily basis during the PV System Installation. Host Facility Owner will allow IPC to inspect and review the PV System during the PV Sytstem Installation. Upon reasonable request by IPC during the Host Facility Owner Obligation Period, Host Facility Owner shall provide to IPC access to the PV System, and any Content as may be requested by IPC. Host Facility Owner shall comply with all utility requirements set forth in Schedule 68, , as updated from time to time, including access to the PV System production meter and disconnect switch.
