Common use of Acceptance of the Premises Clause in Contracts

Acceptance of the Premises. By entry and taking possession of the Premises pursuant to this Lease, Tenant accepts the Premises as being in good and sanitary order, condition and repair and accepts the Premises in their condition existing as of the date of such entry and Tenant further accepts the Tenant Improvements to be constructed by Landlord, if any, as being completed in accordance with the plans and specifications for such Tenant Improvements, except for punch list items, and any express warranties by and obligations of Landlord set forth in this Lease. Tenant acknowledges that neither the Landlord nor Landlord's agents has made any representation or warranty as to the suitability of the Premises to the conduct of Tenant's business. Any agreements, warranties or representations not expressly contained herein shall in no way bind either Landlord or Tenant, and Landlord and Tenant expressly waive all claims for damages by reason of any statement, representation, warranty, promise or agreement not contained in this Lease. This Lease constitutes the entire understanding between the parties hereto and no addition to, or modification of, any term or provision of this Lease shall be effective until set forth in a writing signed by both Landlord and Tenant.

Acceptance of the Premises. By entry and taking possession of the Premises Premises, or applicable portion thereof, pursuant to this Lease, Tenant accepts the Premises same as being in good and sanitary order, condition and repair (subject to punch list items and reservation by Tenant of claims of latent defects and violations of applicable law, and without limiting Landlord's obligations under this Lease) and Tenant accepts the Premises Premises, or applicable portion thereof, including without limitation, the Building constructed by Landlord, in their condition existing as of the date of such entry and Tenant further accepts or possession. Landlord acknowledges that Tenant's acceptance of possession of the Tenant Improvements shell of the Building in a "water tight" condition does not release or excuse Landlord from its obligation under the Improvement Agreement attached hereto as Exhibit "C" to be constructed by Landlord, if any, as being completed in accordance with the plans and specifications for complete construction of such Tenant Improvements, except for punch list items, and any express warranties by and obligations of Landlord set forth in this LeaseBuilding. Tenant acknowledges that neither the Landlord nor Landlord's agents has made any representation or warranty as to the suitability of the Premises or the Expansion Project to the conduct of Tenant's business. Any agreements, warranties or representations not expressly contained herein shall in no way bind either Landlord or Tenant, and Landlord and Tenant expressly waive all claims for damages by reason of any statement, representation, warranty, promise or agreement agreement, if any, not contained in this Lease. This Lease constitutes the entire understanding between the parties hereto and no addition to, or modification of, any term or provision of this Lease shall be effective until set forth in a writing signed by both Landlord and Tenant.

Tenant shall be thirty (30) days after it has taken possession of the Premises to notify Landlord of any problems needing correction with respect to the HVAC, plumbing, and electrical, excluding any express warranties work done by and obligations of Landlord set forth Tenant or its contractors, employees or agents in this Leaseretrofitting the Premises to suit its specific requirements. Tenant acknowledges that neither the Landlord nor Landlord's agents has made any representation or warranty as to the suitability of the Premises to the conduct of Tenant's business. Any agreements, warranties or representations not no expressly contained herein shall in no way bind either Landlord or Tenant, and Landlord and Tenant expressly waive all claims for damages by reason of any statement, representation, warranty, promise or agreement agreement, if any, not contained in this Lease. This Lease constitutes the entire understanding between the parties hereto and no addition todo, or modification of, any term or provision of this Lease shall be effective until set forth in a writing signed by both Landlord and Tenant.

Acceptance of the Premises. Any agreements, warranties or representations not expressly contained herein shall in no way bind either Landlord or Tenant, and Landlord and Tenant expressly waive all claims for damages by reason of any statement, representation, warranty, promise or agreement agreement, if any, not contained in this Lease. This Lease (including Exhibits "A", "B", "C", "D" and "E" attached hereto) constitutes the entire understanding between the parties hereto and no addition to, or modification of, any term or provision of this Lease shall be effective until set forth in a writing signed by both Landlord and Tenant.
