Acceptance by Licensee. Licensee shall conduct acceptance tests of the Software during the thirty (30) days following the receipt of the Software. If during this acceptance period Licensee finds that the Software does not substantially conform to its material specifications, Licensee may reject the Software by providing written notice with a description of the nonconformity to the Department. The Department will replace the Software provided the Licensee returns such defective Software to the Department, paying for the return shipping and insurance such that the Software is returned in the same condition as delivered. FAILURE TO RETURN THE SOFTWARE WITHIN THE THIRTY (30) DAY PERIOD SHALL CONSTITUTE ACCEPTANCE OF THE SOFTWARE BY LICENSEE. Replacement within such period shall be Licensee’s sole remedy for the Software’s failure to conform to applicable specifications.

Acceptance by Licensee. By executing this Agreement, Licensee accepts on an as-is basis, the condition of all parking lots on and adjacent to the Scottsdale Aviation Business Center Building and the Facilities. Any deviation made by Licensee of existing materials will be at the sole cost and expense of Licensee.

Acceptance by Licensee. Acceptance by LICENSEE of the Wf-516 Bulk delivered by MTPC shall be subject to inspection and applicable testing, as set forth in the Specifications, by LICENSEE or its designee as set forth in the Specifications. If (a) on such inspection of testing, LICENSEE or its designee discovers that any Wf-516 Bulk fails to conform with the Specifications, any GMP requirements, any Regulatory Requirements, or otherwise fails to conform to the warranties in Sections 11.2.12 to 11.2.16 below, or (b) if LICENSEE becomes aware of any defect in any Wf-516 Bulk that is not discoverable upon a reasonable inspection or quality control testing as set forth in the Specifications within seventy (70) days after the delivery, LICENSEE or such designee may reject such Wf-516 Bulk, which rejection will be accomplished by giving written notice to MTPC that specifies the manner in which the Wf-516 Bulk fails to meet the foregoing requirements. Upon request from MTPC, LICENSEE shall return the rejected Wf-516 Bulk in accordance with MTPC’s reasonable instructions at MTPC’s expense, provided that such instructions comply with all applicable laws, regulations and Regulatory Requirements.
Acceptance by Licensee. Licensee shall inspect the products promptly upon receipt thereof and may reject any products which are not according to then current Reduct product specifications. Products not rejected by written notification to Reduct within fourteen (14) days of receipt shall be deemed to have been accepted. Rejected products shall be returned freight prepaid to Reduct within ten (10) calendar days of rejection. As soon as possible Reduct shall, at its option and expense, either repair or replace such rejected products. Reduct shall prepay transportation costs back to Licensee and shall reimburse Licensee for any costs of transportation incurred by Licensee in connection with the return to Reduct of such properly rejected products. 4.4

Acceptance by Licensee. Unless Licensee has accepted the Licensed Materials by placing a purchase order after a pre-agreed trial or evaluation of said Licensed Materials, Licensee shall conduct acceptance tests of the Company Software during the thirty (30) days following the announcement of availability for electronic download or the shipment of the Company Software by the Company. If during this acceptance period Licensee finds that the Company Software does not correspond to the then current product description, Licensee may cancel the requested shipment and receive a refund of all payments made to the Company for the non-accepted Licensed Materials; provided, however, that Licensee shall return such defective Licensed Materials to the Company, transportation prepaid and insured, in the same condition as delivered and in same or equivalent shipping container, with a description of all such defects; and, provided further, that the Company is able to confirm such defects independently. Failure to return the Licensed Materials within such thirty (30) day period shall constitute acceptance of the Licensed Materials by Licensee. If errors or defects that hinder further testing are discovered before the end of the acceptance test period, Licensee will send the Company a detailed written report, at which time the acceptance test period will be suspended until those defects have been eliminated, whereby a defect is defined as a deviation from written functional specifications. Acceptance of the Company Software cannot be refused for reasons other than those that have been explicitly agreed to in writing between the Company and Licensee, nor because of the existence of minor errors or defects that don’t reasonably hinder deployment or productive use of the Licensed Materials for the purposes set forth in Exhibit B. If the Licensed Materials are delivered and tested in phases and/or parts, then the non-acceptance of a certain phase and/or part shall not undo the acceptance of an earlier phase and/or part.
Acceptance by Licensee. 8.1. LICENSEE shall have 60 days from receipt of a version of an AT&T SOFTWARE PRODUCT, supported and tested by AT&T, to ensure that said product conforms with the specifications set forth in the Exhibit of the Supplement attached hereto.
