Acceptance and Validity. You will only be eligible for a Commission payment for any Customer Transactions that derived from Affiliate Leads generated by the Affiliate Link that we make available to you, or an email stating that you generated a Sponsorship Donation prior to a completed donation, and are accepted by Girls Rule. An Affiliate Lead will be considered valid and accepted if, in our reasonable determination: (i) it is a new potential customer of ours, and (ii) is not, at the time of submission, one of our pre-existing customers. Notwithstanding the foregoing, we may choose not to accept an Affiliate Lead in our reasonable discretion. If an Affiliate Lead does not purchase a dreamLAB or other product within the time period described on the Affiliate Tool of their first click on the Affiliate Link, you will not be eligible for a Commission payment. The Affiliate Tool tracks visits to the platform by using cookies placed in the Affiliate Lead’s browser and the Affiliate Link is recorded in the cookie, which lasts for 30 days. If that same Affiliate Lead returns at any point over the next 30 days, the cookie is not modified or updated; only the first visit is relevant. After 30 days, the cookie expires, and their next visit will create a new one, following the same rules. When that Affiliate Lead creates an actual account on your site, the Affiliate Tool check the cookie to see if they should be associated with an existing Affiliate. In order for a Customer account to be associated with an Affiliate, they must have visited the purchase platform for the first time from that Affiliate's link. If the Affiliate Lead visited the platform previously on their own, without signing up, but returned within 30 days via an Affiliate link, they will not end up associated with that Affiliate. The Affiliate Lead does not need to make any purchases; the link between account and Affiliate is made as soon as the account is created, and persists indefinitely. Finally, keep in mind that cookies are browser-specific, and the cookie will only be checked when the actual account is made. An Affiliate Lead is not considered valid if it’s first click on the Affiliate Link is after this Agreement has expired or terminated. Once we have received the Affiliate Lead information, we may elect to engage with the prospect directly, regardless of whether or not the Affiliate Lead is valid. Acceptance and Validity. You will only be eligible for a Commission payment for any Customer Transactions that are accepted by SteadyTake and that derive from Affiliate Leads generated by the Affiliate Lead Form that we make available to you. An Affiliate Lead will be considered valid and accepted if, in our reasonable determination, the Customer is not attempting to engage in fraudulent transactions, has a bona fine intent to purchase one or more SteadyTake Products, and has the financial ability to pay for said Products. Notwithstanding the foregoing, we may choose not to accept an Affiliate Lead in our reasonable discretion. If an Affiliate Lead does not purchase a SteadyTake Product within the time period defined in the “Affiliate Program Limits” section of this agreement, you will not be eligible for a Commission payment, even if the Affiliate Lead decides to purchase after the time period has expired. An Affiliate Lead is not considered valid if they complete the Affiliate Lead Form after this Agreement has been terminated or otherwise expired.

An Affiliate Lead will be considered valid and accepted if, in our reasonable determination: passes the AML and KYC due diligence checks we have in place, provides all the necessary requested information, is not resident or citizen of any of the restricted jurisdictions, has legal capacity to enter into applicable agreement related to purchase of Tokens, and is not breaching any law of regulation applicable to it by reason of residency, citizenship, or other. An Affiliate Lead is not considered valid if it’s first click on the Affiliate Link is after this Agreement has expired or terminated.

Notwithstanding the foregoing, we may choose not to accept an Affiliate Lead in our reasonable discretion. If an Affiliate Lead does not purchase the Member Subscription Service within the time period described on the Program Policies Page) of their first click on the Affiliate Link, you will not be eligible for a Commission payment, even if the Affiliate Lead decides to purchase after the time period has expired. For this certificate to be valid, the seller/lessor shall exercise good faith in accepting this certificate, which includes: (1) the certificate shall be completed properly; (2) the certificate shall be in the seller/lessor's possession within 60 days from the date of sale/lease; (3) the certificate does not contain infor- mation which is knowingly false; and (4) the property or service is consistent with the exemption to which the customer is entitled. For more information, refer to Exemption Certificates, Title 61 PA Code §32.2. An invalid certificate may subject the seller/lessor to the tax.

Notwithstanding the foregoing, we may choose not to accept an Affiliate Lead in our reasonable discretion. If an Affiliate Lead does not complete the Customer Transaction within the time period described in the Program Policies) of their first click on the Affiliate Link, you will not be eligible for a Commission payment, even if the Affiliate Lead decides to complete after the time period has expired. An Affiliate Lead is not considered valid if its first click on the Affiliate Link is after this Agreement has expired or terminated. Engagement with Affiliate Leads – Once we have received the Affiliate Lead information, Everest will attempt to qualify, eKYC if applicable, and onboard Affiliate Lead. If an Affiliate Lead is not valid then we may choose to maintain it in our database and we may choose to engage with such Affiliate Lead. Any engagement between Everest and an Affiliate Lead will be at Everest’s discretion. Commission and Payment – In order to receive payment under this Agreement, you must have: (i) agreed to the terms of this Agreement; (ii) completed all steps necessary to create your account in the Affiliate Tool in accordance with our directions, (iii) have a valid and up-to-date payment receipt method on file with Everest with such account (iv) completed any and all required tax documentation in order for the Affiliate Tool to process any payments that may be owed to you. Commissions are paid based upon the USD value of the fees collected by Everest, and paid in Everest’s ID Tokens. Payments will be made based upon Program Policies. Notwithstanding the foregoing or anything to the contrary in this Agreement, if any of the requirements set forth in section 4(a)(i-iv) remain outstanding for six (6) months immediately following the close of a Customer Transaction, then your right to receive Commission arising from any and all Customer Transactions with the associated Customer will be forever forfeited (each, a “Forfeited Transaction”).
