Common use of Absolute Right Clause in Contracts

Absolute Right. ‌ If (a) Service Provider becomes listed on the prohibited vendors list authorized by Executive Order Number 13224, "Blocking Property and Prohibiting Transactions with Persons Who Commit, Threaten to Commit, or Support Terrorism", published by the United States Department of the Treasury, Office of Foreign Assets Control or (b) Service Provider becomes suspended or debarred from doing business with the federal government as listed in the Excluded Parties List System maintained by the General Services Administration, then DIR may, upon notice to Service Provider, terminate this Agreement, in whole or, to the extent possible under applicable Law, in part, as of the termination date specified in the notice.
