Common use of Absence of Questionable Payments Clause in Contracts

Absence of Questionable Payments. Neither the Company nor any Affiliate, director, officer, partner, employee, agent, representative or other Person acting on behalf of the Company has: (i) used any funds for contributions, payments, gifts or entertainment, or made any expenditures relating to political activities of foreign, federal, state or local government officials or others in violation of any law (including the Foreign Corrupt Practices Act of 1977, as amended), or (ii) accepted or received any unlawful contributions, payments, gifts or expenditures.

Absence of Questionable Payments. Neither the Company nor any Affiliate, director, officer, Company Stockholder, partner, employee, agent, representative or other Person Person, in each case acting on behalf of the Company Company, has: (i) used any funds for contributions, payments, gifts or entertainment, or made any expenditures relating to political activities of foreign, federal, state or local government officials or others in violation of any law Law (including the Foreign Corrupt Practices Act of 1977, as amended), or (ii) accepted or received any unlawful contributions, payments, gifts or expenditures.

Neither the Company or any Subsidiary nor any Affiliate, director, officer, partner, employee, agent, representative or other Person acting on behalf of the Company or any Subsidiary has: (i) used any corporate or other funds for unlawful contributions, payments, gifts or entertainment, or made any unlawful expenditures relating to political activities of foreign, federal, state or local to government officials or others in violation of any law (including the Foreign Corrupt Practices Act of 1977, as amended)others, or (ii) accepted or received any unlawful contributions, payments, gifts or expenditures.

Neither the Company nor any Affiliate, director, officer, partner, employee, agent, representative or other Person acting on behalf of the Company has: (i) used any funds for contributions, payments, gifts or entertainment, or made any expenditures relating to political activities of foreign, federal, state or local government officials or others in violation of any law Law (including the Foreign Corrupt Practices Act of 1977, as amended), or (ii) accepted or received any unlawful contributions, payments, gifts or expenditures.

Absence of Questionable Payments. Neither To the Company nor any Affiliate, director, officer, partner, employee, agent, representative or other Person acting on behalf best knowledge of the Company has: (i) and the Principals, neither the Company, nor any of its directors, officers, agents, employees or other person acting on its behalf, has used any of the Company's funds for unlawful contributions, payments, gifts or entertainment, or made any unlawful expenditures relating to political activities of foreign, federal, state or local activity to government officials or others in violation of others. Neither the Company nor any law (including the Foreign Corrupt Practices Act of 1977current director, as amended)officer, agent, employee or (ii) other person acting on its behalf has accepted or received any improper or unlawful contributions, payments, gifts or expenditures.
