Common use of ABSENCE OF INSTRUCTIONS Clause in Contracts

ABSENCE OF INSTRUCTIONS. If the Trustee receives no instructions from the Administrative Committee or the Company in response to communications sent to the Administrative Committee or the Company at the last known address of either as shown in the records of the Trustee, the Trustee may make such determination with respect to distributions and other administrative matters arising under the Plan as it considers reasonable and in accordance with the provisions of the Plan. Any determinations so made will be binding on all persons having or claiming any interest under the Plan or Trust, and the Trustee will incur no obligation or responsibility for any such determination made or for any action taken by the Trustee in good faith in such circumstances.
