Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization authorization, or order or qualification of, or filing or registration with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, except such as have been obtained and or made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder Securityholder for the consummation of the transactions contemplated by this Agreement or the Custody Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderSecurityholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and the Rules and Regulations and such as may be required under applicable state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Power of Attorney and related Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities lawslaws or FINRA.

Absence of Further Requirements. No consentfiling with, or authorization, approval, authorization consent, license, order, registration, qualification or order decree of, or filing with, any person (including any court or governmental agency authority or body or any courtagency) is necessary or required to be obtained or made for the performance by such Selling Stockholder for Shareholder of its obligations in connection with the sale and delivery of the Securities hereunder or the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling StockholderAgreement, except such as have been already obtained and made under the Act and such or as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained or made and made are in full force and effect under the Act and such as may be required under state securities lawsAct.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing or registration with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder for the consummation by the Selling Stockholder of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws (including “blue sky” laws).

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the custody agreement (the “Custody Agreement”) or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have already been obtained and or made (including under the Act and such Securities Laws) or as may be required under the state securities lawslaws or the rules of FINRA.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder Stockholders for the consummation of the transactions contemplated by the Custody Agreement, the Power of Attorney or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderStockholders, except such as have been obtained and made under the Act and such as may be required under state securities lawslaws or by FINRA.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Powers of Attorney (as defined below) and related Custody Agreements (as defined below) or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any stockholder (including shareholders of the Selling Stockholders’ direct or indirect parent), governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, Stockholders except (i) such as have been obtained and made under the Act and (ii) such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization authorization, or order or qualification of, or filing or registration with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, except such as have been obtained and or made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder Shareholder for the consummation of the transactions contemplated by the Power of Attorney (as defined below), the Custody Agreement (as defined below) or this Agreement in connection with the offering and sale of the Offered Securities to be Shares sold by such the Selling StockholderShareholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under the Act, state securities laws, FINRA or NYSE Euronext, as to which the Selling Stockholder makes no representation.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization authorization, or order of, or filing with, any person (including any governmental agency or body or any court) court is required to be obtained or made by such Selling Stockholder Shareholder for the consummation of the transactions contemplated by this Agreement or the Custody Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling StockholderShareholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Selling Stockholder Offered Securities to be sold by such Selling StockholderSecurities, except such as have been obtained and made under the Act and such or as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) court is required to be obtained or made by such the Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, except (a) such as have been obtained and made under the Act and Act, (b) such as may be required under state or federal securities lawslaws or blue sky laws or the rules of FINRA or (c) such other approvals as have been obtained.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by any such Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling StockholderAgreement, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder Shareholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling StockholderAgreement, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, except (i) such as have been obtained and made under the Act Act, and (ii) such as may be required under federal or state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderStockholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.

No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the execution, delivery and performance of this Agreement, the Custody Agreement or the Power of Attorney by such Selling Stockholder and the consummation of the transactions contemplated by this Agreement in connection with the offering hereby and sale of the Offered Securities to be sold by such Selling Stockholderthereby, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation by the Selling Stockholder of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder Unitholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be Units sold by such the Selling StockholderUnitholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) court having jurisdiction over such Selling Stockholder is required to be obtained or made by such any Selling Stockholder Stockholders for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderStockholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) court is required to be obtained or made by such each Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such each Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the execution, delivery and performance of this Agreement, the Custody Agreement or the Power of Attorney by such Selling Stockholder and the consummation of the transactions contemplated by therein or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) court having jurisdiction over the Selling Stockholder or any of its properties is required to be obtained or made by such the Selling Stockholder for the consummation by the Selling Stockholder of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the custody agreement entered into by each Selling Stockholder (“Custody Agreement”) or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderStockholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and or made under the Act and such as may be required under state securities lawslaws or the rules of FINRA.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder Shareholder for the consummation of the transactions contemplated by the Custody Agreement (as defined below) or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling StockholderShareholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Optional Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) court is required to be obtained or made by such Selling Stockholder for the execution, delivery and performance of this Agreement, the Custody Agreement or the Power of Attorney by such Selling Stockholder and the consummation of the transactions contemplated by this Agreement in connection with the offering hereby and sale of the Offered Securities to be sold by such Selling Stockholderthereby, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement (to the extent a party thereto) or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be Underlying Shares sold by such the Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder Shareholder for the consummation of the transactions contemplated by the Power of Attorney (as defined below), Custody Agreement (as defined below) or this Agreement in connection with the offering and sale of the Offered Securities to be Shares sold by such the Selling StockholderShareholder, except such as have been obtained and made under the Act and such as may be required under state securities lawslaws or by FINRA.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by the Custody Agreement referred to in Section 3 hereof or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderStockholders, except such as have been obtained and or made under prior to the Act date hereof and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such the Selling Stockholder for the consummation by the Selling Stockholder of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under the Act or state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder Shareholder for the consummation of the transactions contemplated by the Custody Agreement (as defined below) or this Agreement in connection with the offering offering, issuance and sale of the Offered Securities to be Shares sold by such Selling StockholderShareholder, except such as have been obtained and made under the Securities Act and such as may be required under state securities lawslaws or by FINRA.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder Shareholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be Shares sold by such the Selling StockholderShareholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder Shareholders for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling StockholderShareholders, except such as have been obtained and made under the Act and such as may be required under state securities lawslaws or the rules and regulations of the NASD.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the Restructuring Transactions or the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder Stockholders for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderStockholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) court having jurisdiction over such Selling Stockholder is required to be obtained or made by such Selling Stockholder for the consummation by such Selling Stockholder of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderStockholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder Shareholder for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling StockholderShareholders, except (i) such as have been obtained in connection with the offer and sale of the Offered Securities, (ii) such as have been made under the Act and (iii) such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such any Selling Stockholder Stockholders for the consummation of the transactions contemplated by the Custody Agreement or this Agreement in connection with the offering and sale of the Offered Securities to be sold by such the Selling StockholderStockholders, except such as have been obtained and made under the Act and such as may be required under state securities laws.;

Absence of Further Requirements. No consent, approval, authorization authorization, or order of, or filing or registration with, any person (including any governmental agency or body or any court) court is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and obtained, or made under the Act and such as may be required under state securities laws.

Absence of Further Requirements. No consent, approval, authorization or order of, or filing with, any person (including any governmental agency or body or any court) is required to be obtained or made by such Selling Stockholder for the consummation of the transactions contemplated by this Agreement in connection with the offering and sale of the Offered Securities to be sold by such Selling Stockholder, except such as have been obtained and made under the Act and such as may be required under state securities laws.;
