Common use of Absence of Duties Clause in Contracts

Absence of Duties. In the case of the Mortgagee, except in accordance with written instructions furnished pursuant to Section 5.01 or 5.02 hereof, and except as provided in, and without limiting the generality of, Sections 5.03, 5.04 and 6.08 hereof and, in the case of the Owner Trustee, except as provided in Section 4.01(b) hereof, the Owner Trustee and the Mortgagee shall have no duty (i) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft or to effect or maintain any such insurance, whether or not Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance of any kind against any part of the Trust Estate or the Trust Indenture Estate, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, or (v) to inspect the Aircraft at any time or ascertain or inquire as to the performance or observance of any of Lessee’s covenants under the Lease or any of the Permitted Sublessee’s covenants under any assigned Permitted Sublease with respect to the Aircraft. The Owner Participant shall not have any duty or responsibility hereunder, including, without limitation, any of the duties mentioned in clauses (i) through (v) above; provided, that nothing contained in this sentence shall limit any obligations of the Owner Participant under the Participation Agreement or relieve the Owner Participant from any restriction under Section 4.03 hereof.

Absence of Duties. In the case of the Mortgagee, except in accordance with written instructions furnished pursuant to Section 5.01 or 5.02 hereof, and except as provided in, and without limiting the generality of, Sections 5.03, 5.04 and 6.08 hereof and, in the case of the Owner Trustee, except as provided in Section 4.01(b) hereof, the Owner Trustee and the Mortgagee shall have no duty (i) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft or to effect or maintain any such insurance, whether or not Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance of any kind against any part of the Trust Estate or the Trust Indenture Estate, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, or (v) to inspect the Aircraft at any time or ascertain or inquire as to the performance or observance of any of Lessee’s 's covenants under the Lease [or any of the Permitted Sublessee’s 's covenants under any assigned Permitted Sublease Sublease] with respect to the Aircraft. The Owner Participant shall not have any duty or responsibility hereunder, including, without limitation, any of the duties mentioned in clauses (i) through (v) above; provided, that nothing contained in this sentence shall limit any obligations of the Owner Participant under the Participation Agreement or relieve the Owner Participant from any restriction under Section 4.03 hereof.

In the case of the MortgageeIndenture Trustee, except in accordance with written instructions furnished pursuant to Section 5.01 or 5.02 hereof, and except as provided in, and without limiting the generality of, Sections 5.03, 5.03 and 5.04 and 6.08 hereof and, in the case of the Owner Trustee, except as provided in Section 4.01(b) hereof, the Owner Trustee and the Mortgagee Indenture Trustee shall have no duty (i) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft or to effect or maintain any such insurance, whether or not Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance of any kind against any part of the Trust Estate or the Trust Indenture Estate, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, or (v) to inspect the Aircraft at any time or ascertain or inquire as to the performance or observance of any of Lessee’s 's covenants under the Lease or any of the Permitted Sublessee’s covenants under any assigned Permitted Sublease with respect to the Aircraft. Absence of Duties. In the case of the MortgageeIndenture Trustee, except in accordance with written instructions furnished pursuant to Section 5.01 5.01, 5.02 or 5.02 9.01 hereof, and except as provided in, and without limiting the generality of, Sections 5.03, 5.04 and 6.08 6.09 hereof and, in the case of the Owner Trustee, except as provided in Section 4.01(b) hereof), 6.09 or 9.01 hereof and in the Trust Agreement, the Lease and the Refunding Agreement, the Owner Trustee and the Mortgagee Indenture Trustee shall have no duty (i) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft or to effect or maintain any such insuranceEngine, whether or not the Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance Lien of any kind against any part of the Trust Estate or the Trust Indenture Estate, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, of the Lessee or (v) to inspect the Aircraft Engine at any time or ascertain or inquire as to the performance or observance of any of the Lessee’s 's covenants under the Lease or any of the Permitted Sublessee’s 's covenants under any assigned Permitted Assigned Sublease with respect to the Aircraft. The Owner Participant shall not have any duty or responsibility hereunder, including, without limitation, any of the duties mentioned in clauses (i) through (v) above; provided, that nothing contained in this sentence shall limit any obligations of the Owner Participant under the Participation Agreement or relieve the Owner Participant from any restriction under Section 4.03 hereofEngine.

Absence of Duties. The Owner Participant shall not have any duty or responsibility hereunder, including, without limitation, any of the duties mentioned in clauses (i) through (v) above; providedPROVIDED, HOWEVER, that nothing contained in this sentence shall limit any obligations of the Owner Participant under the Participation Agreement or relieve the Owner Participant from any restriction under Section 4.03 hereof.

Absence of Duties. In the case of the Mortgagee, except Except in accordance with written ----------------- instructions or requests furnished pursuant to Section 5.01 5.1 or 5.02 hereof, Section 5.2 and except as provided in, and without limiting the generality of, Sections 5.03, 5.04 and 6.08 hereof and, in the case of the Owner Trustee, except as provided in Section 4.01(b) hereof5.4, the Owner Indenture Trustee and the Mortgagee shall have no duty (i) to see to any registration of the Aircraft Equipment or any recording or filing of the Lease Lease, or of this Trust Indenture or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft Equipment or to effect or maintain any such insurance, whether or not the Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance of any kind against any part of the Trust Estate or the Trust Indenture Estate, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, of the Lessee or (viv) to inspect the Aircraft Equipment at any time or ascertain or inquire as to the performance or observance of any of the Lessee’s 's covenants under the Lease or any of the Permitted Sublessee’s covenants under any assigned Permitted Sublease with respect to the AircraftEquipment. The Owner Notwithstanding the foregoing, the Indenture Trustee will furnish to any Loan Participant, so long as such Loan Participant or its nominees shall hold any of the Equipment Notes and to each of the Rating Agencies, promptly upon receipt thereof, duplicates or copies of all reports, notices, requests, demands, certificates, financial statements and other instruments furnished to the Indenture Trustee under this Indenture, to the extent that the same shall not have any duty been furnished to the Indenture Trustee and the Loan Participants or responsibility hereunderthe Rating Agencies, includingas the case may be, without limitation, any of pursuant to the duties mentioned in clauses (i) through (v) above; provided, that nothing contained in this sentence shall limit any obligations of the Owner Participant under Lease or the Participation Agreement or relieve the Owner Participant from any restriction under Section 4.03 hereofAgreement.

In the case of the MortgageeLoan Trustee, except in accordance with written instructions furnished pursuant to Section 5.01 or 5.02 hereof, and except as provided in, and without limiting the generality of, Sections 5.03, 5.03 and 5.04 and 6.08 hereof and, in the case of the Owner Trustee, except as provided in Section 4.01(b) hereofhereof or Section 13 of the Participation Agreement, the Owner Trustee and the Mortgagee Loan Trustee shall have no duty (i) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft or to effect or maintain any such insurance, whether or not Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance of any kind against any part of the Trust Estate or the Trust Indenture EstateCollateral, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, or (v) to inspect the Aircraft at any time or ascertain or inquire as to the performance or observance of any of Lessee’s 's covenants under the Lease [or any of the Permitted Sublessee’s 's covenants under any assigned Permitted Sublease Sublease] with respect to the Aircraft. In the case of the Mortgagee, except in accordance with written instructions furnished pursuant to Section 5.01 or 5.02 hereof, and except as provided in, and without limiting the generality of, Sections 5.03, 5.04 and 6.08 hereof and, in the case of the Owner Trustee, except as provided in Section 4.01(b) hereof, the Owner Trustee and the Mortgagee shall have no duty (i) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft or to effect or maintain any such insurance, whether or not Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance of any kind against any part of the Trust Estate or the Trust Indenture Estate, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, or (v) to inspect the Aircraft at any time or ascertain or inquire as to the performance or observance of any of Lessee’s 's covenants under the Lease [or any of the Permitted Sublessee’s 's covenants under any assigned Permitted Sublease Sublease] with respect ---------------- Insert bracketed language if the Lease provides for the assignment of a permitted sublease. to the Aircraft. In the case of the Mortgagee, except in accordance with written instructions furnished pursuant to Section (S) 5.01 or 5.02 hereof(S) 5.02, and except as provided in, in (and without limiting the generality of, Sections ) (S) 5.03, 5.04 (S) 5.04, and 6.08 hereof (S) 6.08, and, in the case of the Owner Trustee, except as provided in Section (S) 4.01(b) hereof), the Owner Trustee and the Mortgagee shall have no duty (ia) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture Mortgage or any other document, or to see to the maintenance of any such registration, recording recording, or filing, (iib) to see to any insurance on the Aircraft or to effect or maintain any such insurance, whether or not Lessee shall be is in default with respect thereto, (iiic) to see to the payment or discharge of any lien or encumbrance of any kind Lien against any part of the Trust Estate or the Trust Indenture EstateCollateral, (ivd) to confirm, verify verify, or inquire into the failure to receive any financial statements from Lessee, or (ve) to inspect the Aircraft at any time or to ascertain or inquire as to the performance or observance of any of Lessee’s 's covenants under the Lease or any of the Permitted Sublessee’s 's covenants under any assigned 45 Permitted Sublease with respect to the Aircraft. The Owner Participant shall not have any duty or responsibility hereunder, including, without limitation, including any of the duties mentioned in clauses (ia) through (ve) above; provided, that nothing contained in this sentence shall limit any obligations of the Owner Participant under the Participation Agreement or relieve the Owner Participant from any restriction under Section (S) 4.03 hereof.

In the case of the MortgageeLoan Trustee, except in accordance with written instructions furnished pursuant to Section (ss.) 5.01 or 5.02 hereof(ss.) 5.02, and except as provided in, and without limiting the generality of, Sections 5.03(ss.) 5.03 and (ss.) 5.04, 5.04 and 6.08 hereof and, in the case of the Owner Trustee, except as provided in Section (ss.) 4.01(b) hereofhereof or (ss.) 13 of the Participation Agreement, the Owner Trustee and the Mortgagee Loan Trustee shall have no duty (i) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture Mortgage or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft or to effect or maintain any such insurance, whether or not Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance Lien of any kind against any part of the Trust Estate or the Trust Indenture EstateCollateral, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, or (v) to inspect the Aircraft at any time or ascertain or inquire as to the performance or observance of any of Lessee’s 's covenants under the Lease [or any of the Permitted Sublessee’s 's covenants under any assigned Permitted Sublease Sublease] with respect to the Aircraft. In the case of the MortgageeIndenture Trustee, except in accordance with written instructions furnished pursuant to Section 5.01 or 5.02 hereof, and except as provided in, and without limiting the generality of, Sections 5.03, 5.03 and 5.04 and 6.08 hereof and, in the case of the Owner Trustee, except as provided in Section 4.01(b) hereof, the Owner Trustee and the Mortgagee Indenture Trustee shall have no duty (i) to see to any registration of the Aircraft or any recording or filing of the Lease or of this Trust Indenture or any other document, or to see to the maintenance of any such registration, recording or filing, (ii) to see to any insurance on the Aircraft or to effect or maintain any such insurance, whether or not Lessee shall be in default with respect thereto, (iii) to see to the payment or discharge of any lien or encumbrance of any kind against any part of the Trust Estate or the Trust Indenture Estate, (iv) to confirm, verify or inquire into the failure to receive any financial statements from Lessee, or (v) to inspect the Aircraft at any time or ascertain or inquire as to the performance or observance of any of Lessee’s Lessee s covenants under the Lease or any of the Permitted Sublessee’s covenants under any assigned Permitted Sublease with respect to the Aircraft. The Owner Participant shall not have any duty or responsibility hereunder, including, without limitation, any of the duties mentioned in clauses (i) through (v) above; provided, provided that nothing contained in this sentence shall limit any obligations of the Owner Participant under the Participation Agreement or relieve the Owner Participant from any restriction under Section 4.03 hereof.
