Common use of Absence of Change Clause in Contracts

Between the date of this Agreement and the Closing Date, no Material Adverse Change shall have occurred in the Security Solutions or the Purchased Assets, nor shall there have occurred any material casualty loss or destruction of, or damage to, any of the Purchased Assets whether or not covered by insurance.
