Absence of Certain Payments. Neither the Company, nor any director, officer, agent, employee or other Person associated with or acting on behalf of the Company, has used any corporate funds for unlawful contributions, gifts, entertainment or other unlawful expenses relating to political activity, or made any direct or indirect unlawful payments to government officials or employees, or to employees or other representatives of customers, suppliers or others with which the Company has a business relationship, from corporate funds, or established or maintained any unlawful or unrecorded funds.
