Absence of Brokers, Finders, Etc. No broker, finder or similar person engaged by the Buyer is entitled to any commission, fee or other compensation in connection with the transactions contemplated by this Agreement and the Buyer shall pay, and indemnify and hold harmless the Company from, any claim made against the Company by any such person for any such commission, fee or other compensation.
Absence of Brokers, Finders, Etc. No broker, finder or similar Person is entitled to any commission, fee or other compensation by reason of action taken by or on behalf of the Company in connection with the transactions contemplated by this Agreement other than the Placement Agent (whose commissions, fees and compensation shall be payable solely by the Company in accordance with a written agreement between the Company and the Placement Agent), and the Company shall pay, and indemnify and hold harmless the Buyer from, any claim made against the Buyer by any Person for any such commission, fee or other compensation.

The Company has not and will not pay any commission or other remuneration for soliciting exchanges of Debentures for Shares.

No broker, finder or similar person is entitled to any commission, fee or other compensation by reason of the transactions contemplated by this Agreement other than Reedland Capital Partners and the Company shall pay, and indemnify and hold harmless the Buyer from, any claim made against the Buyer by such entity or any other person for any such commission, fee or other compensation.

No broker, finder, or similar Person is entitled to any commission, fee, or other compensation by reason of the sale, assignment, transfer and delivery by such Holder of the 10% Notes contemplated by this Agreement. Such Holder has not and will not pay any commission or other remuneration for soliciting the sale, assignment, transfer and delivery of such Holder’s 10% Notes.
Absence of Brokers, Finders, Etc. Except as set forth on Schedule 4(w), no broker, finder or similar Person is entitled to any commission, fee or other compensation by reason of action taken by or on behalf of the Borrower or any Subsidiary in connection with the transactions contemplated by this Agreement (other than Sigma Advisors pursuant to the Advisory Services Agreement), and the Borrower shall pay, and indemnify and hold harmless Purchaser from, any claim made against the Purchaser by any Person for any such commission, fee or other compensation.

Except as set forth in Section 3(m) of the Disclosure Letter, no broker, finder or similar person is entitled to any commission, fee or other compensation by reason of the transactions contemplated by this Agreement and the Company shall pay, and indemnify and hold harmless the Buyer from, any claim made against the Buyer by any person for any such conversion, fee or other compensation.

No broker, finder or similar Person other than Diaz & Xltsxxxx Xxxital, LLC is entitled to any commission, fee or other compensation by reason of the transactions contemplated by this Agreement based on the Company's actions, and the Company shall pay, and indemnify and hold harmless the Buyer
Absence of Brokers, Finders, Etc. (1) the Buyer has not dealt with any broker, finder or similar Person who is entitled to any commission, for or other compensation by reason of the transactions contemplated by this agreement, other than the Placement Agent, and (2) the Buyer shall pay, and indemnify and hold harmless the Company from, any claim made against the Company by any such broker, finder or similar Person in the event of a breach of the Buyer's representation and warranty set forth in clause (1) of this Section 3(d).
