AB 939. To the extent permitted by Public Resources Code Section 40059.1, and to the extent noncompliance is caused by the Company’s breach of or noncompliance with a provision of this Agreement, the Company agrees to protect and defend the City, with counsel selected by the City, and to indemnify and hold harmless the City from and against all fines or penalties imposed by the State of California if the waste diversion goals specified in the California Public Resources Code are not met by the City with respect to the Solid Waste collected by the Company under this Agreement. If, following written demand by the City, the Company fails to indemnify the City from and against such fines or penalties, the City may make a claim against the bond established pursuant to Section 9.5 for amounts owed by the Company pursuant to this Section, and the Company shall replenish the bond so that the principal amount is restored to $300,000.
