04Terms and Conditions. Except as otherwise set forth in this Agreement, Greenbrook’s Product purchases will be governed by Neuronetics’ then-current standard terms and conditions of sale available at xxx.xxxxxxxxx.xxx/xx (the “Terms and Conditions”). Neuronetics will provide Greenbrook with written notice of any modifications to the Terms and Conditions before Greenbrook will be bound by such modifications. Greenbrook represents and warrants that it has all requisite authority to, and hereby does, bind its Affiliates under this Agreement. Greenbrook will be jointly and severally liable for all Product purchases made, and compliance with the terms of this Agreement and the Terms and Conditions, by its Affiliates as well as under the Prior Agreements.
