01 of the Existing Credit Agreement. Section 1.01 of the Existing Credit Agreement is hereby amended by adding the following new definitions in proper alphabetical order:

In addition, from and after the Closing Date, all references to the “Spring Maturity Credit Agreement” contained in the Loan Documents (including any Exhibits and Schedules) relating to the Existing Credit Agreement shall be deemed to refer to this Agreement. The parties hereto hereby acknowledge and agree that (i) this Agreement and the other Loan Documents, whether executed and delivered in connection herewith or otherwise, do not constitute a novation, payment or reborrowing, or termination of the Obligations under the Existing Credit Agreement as in effect prior to the Closing Date and (ii) such Obligations are in all respects continuing (as amended and restated hereby) with only the terms thereof being modified as provided in this Agreement and the other Loan Documents. By executing this Agreement, each Lender and L/C Issuer party thereto agrees to all provisions of this amendment and restatement.
