Consultation Services. The company hereby employs the consultant to perform the following services in accordance with the terms and conditions set forth in this agreement: The consultant will consult with the officers and employees of the company concerning matters relating to the management and organization of the company, their financial policies, the terms and conditions of employment, and generally any matter arising out of the business affairs of the company.
Consultation Services. The Company hereby engages the Consultant to perform the following services (the “Services”) in accordance with the terms and conditions set forth in this Agreement: The Consultant will consult with the directors, officers and employees of the Company concerning matters relating to the management and organization of the Company, its financial policies, the terms and conditions of employment of the Company’s employees, and generally any matter arising out of the business affairs of the Company.
Consultation Services. The Company hereby retains the Consultant to ---------------------- perform the following services: The Consultant will consult with the Company concerning matters relating to performing due diligence on businesses; and generally any matters business arising out of the affairs of said businesses, including business evaluation, business plan development and implementation, corporate structure, research, development and improvement of the Company's business.
Consultation Services. For a period of ten years following the effective date of retirement or other termination of employment, Employee shall render consultation services to Hexcel from time to time upon request of Hexcel, in all areas of Hexcel’s business; provided, however, that Hexcel shall only make such requests at reasonable times and locations in light of Employee’s other commitments, and upon reasonable prior notice; and provided further that the extent of said consultation services shall be limited to not more than ten (10) working days (on the basis of eight-hour work days) per year unless agreed to by Employee. The parties acknowledge that Employee, while providing consultation services hereunder, will be acting in the capacity of an independent contractor and not an employee, and Hexcel shall not have the power to direct or control the manner in which Employee performs his duties as consultant. Hexcel shall reimburse Employee for any expenses incurred by Employee in carrying out his obligations, provided such expenses were approved in advance by Hexcel in writing.
Consultation Services. Provide reasonable consultation services --------------------- with regard to Covered Medications that the Member is taking. Reasonable consultation services shall include, at a minimum, such consultation as is required under applicable federal or state law or regulation.
Consultation Services. Subsequent to Xxxxx’ termination of employment for reasons other than for Cause, death or disability, beginning thirty (30) days thereafter and as a precondition to entitlement to receive amounts as provided in Section D herein, Xxxxx shall keep himself at all times reasonably available for a period of twelve (12) months to render such services of any advisory or consultative nature as the CEO shall reasonably require. Trinity shall not be entitled to call upon Xxxxx for more than one-hundred (100) hours in such twelve (12) month period.
Consultation Services. Employee agrees that, during the Severance Period, the Company may from time to time seek Employee's advice or consult with Employee, at reasonable times mutually agreed by the parties, with respect to matters that Employee handled or issues with which Employee has particular knowledge or expertise.
Consultation Services. The company hereby employs the consultant as a member of the Scientific Advisory Board to perform the following services in accordance with the terms and conditions set forth in this agreement: Provide scientific advice to the board of directors and officers of the Company; recommend additional qualified individuals to join the SAB, and participate in meetings of the SAB.
Consultation Services. Employee shall render such reasonable business consulting and advisory services as the Board of Directors of the Company by written request may call upon him to provide, and as his health (in the opinion of Employee) may permit, from time to time during the period from his retirement (meaning, the date Employee begins to receive Salary Continuation Payments or Early Retirement Payments) to the earlier of the date of his death or Disability. In this regard, it is understood that (i) such consulting and advisory services shall not preclude, or be requested in a fashion which would inhibit, Employee from engaging in other full-time employment not competitive with the Company nor shall they require Employee to be active in the Company's day-to-day activities or require Employee to engage in any substantial travel, (ii) Employee shall perform such services as an independent contractor, and (iii) Employee shall be reimbursed for all ordinary and necessary business expenses incurred in performing such services.
Consultation Services. The Company hereby engages Consultant to --------------------- provide Business consulting services, and Consultant hereby agrees to provide such services to the Company. The specific services to be rendered by Consultant shall be mutually agreed upon from time to time between Consultant and appropriate officers and/or the Board of Directors of the Company. Consultant agrees to devote such time and energy as may be necessary to perform the duties and responsibilities requested by the Company.
