Applicable Period. For purposes of Sections 10.1 and 10.2 above, the term "Applicable Period" means the period of time beginning on the Effective Date of this Agreement and ending on (a) the second (2nd) anniversary of the Date of Termination if the termination is the result of the Executive's Disability or death, (b) the third (3rd) anniversary of the Date of Termination if the termination is (1) by the Company for Cause or by the Executive without Good Reason, (2) other than in connection with a Change in Control, by the Company Without Cause or by the Executive for Good Reason, or (3) by the Executive upon Retirement, or (c) the Date of Termination if the termination is in connection with a Change in Control and by the Company Without Cause or by the Executive for Good Reason.
