There are currently no claims or lawsuits threatened or pending against 51141 or SELLER as the owner of the 51141 shares, and SELLER is unaware of any conditions or circumstances that would lead to or justify the filing of any claim or lawsuit. If, after the consummation of this transaction and the transfer of the 51141 shares from SELLER to PURCHASER any claim or lawsuit shall be filed against 51141 or PURCHASER (as the owner of the 51141 shares), arising out of any circumstances whatsoever prior to transfer of the shares, SELLER shall defend, indemnify and hold PURCHASER harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder.

There are currently no claims or lawsuits threatened or pending against Expedite or SELLER as the owner of the Expedite shares, and SELLER is unaware of any conditions or circumstances that would lead to or justify the filing of any claim or lawsuit. If, after the consummation of this transaction and the transfer of the Expedite shares from SELLER to PURCHASER any claim or lawsuit shall be filed against Expedite or PURCHASER (as the owner of the Expedite shares), arising out of any circumstances whatsoever prior to transfer of the shares, SELLER shall defend, indemnify and hold PURCHASER harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder.

If, after the consummation of this transaction and the transfer of the Shares from the Seller to the Purchaser any claim or lawsuit shall be filed against Legend or the Purchaser (as the owner of the Shares), arising out of any circumstances whatsoever prior to transfer of the shares, the Seller shall defend, indemnify and hold the Purchaser harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder.

If, after the consummation of this transaction and the transfer of the Shares from the Seller to the Purchaser any claim or lawsuit shall be filed against YDM or the Purchaser (as the owner of the Shares), arising out of any circumstances whatsoever prior to transfer of the shares, the Seller shall defend, indemnify and hold the Purchaser harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder.

If, after the consummation of this transaction and the transfer of the 51149 shares from SELLER to PURCHASERS any claim or lawsuit shall be filed against 51149 or PURCHASERS (as the owner of the 51149 shares), arising out of any circumstances whatsoever prior to transfer of the shares, SELLER shall defend, indemnify and hold PURCHASERS harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder.

If, after the consummation of this transaction and the transfer of the Exxxxxx shares from SELLER to PURCHASER any claim or lawsuit shall be filed against Exxxxxx or PURCHASER (as the owner of the Exxxxxx shares), arising out of any circumstances whatsoever prior to transfer of the shares, SELLER shall defend, indemnify and hold PURCHASER harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder.

If, after the consummation of this transaction and the transfer of the Artcraft shares from SELLER to PURCHASER any claim or lawsuit shall be filed against Artcraft or PURCHASER (as the owner of the Artcraft shares), arising out of any circumstances whatsoever prior to transfer of the shares, SELLER shall defend, indemnify and hold PURCHASER harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder.

There are currently no claims or lawsuits threatened or pending against Thermal Technology Services or SELLER as the owner of the Thermal Technology Services shares, and SELLER is unaware of any conditions or circumstances that would lead to or justify the filing of any claim or lawsuit. If, after the consummation of this transaction and the transfer of the Thermal Technology Services shares from SELLER to PURCHASER any claim or lawsuit shall be filed against Thermal Technology Services or PURCHASER (as the owner of the Thermal Technology Services shares), arising out of any circumstances whatsoever prior to transfer of the shares,SELLER shall defend, indemnify and hold PURCHASER harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder.

If, after the consummation of this transaction and the transfer of the Shares from SELLER to PURCHASER any claim or lawsuit shall be filed against 51148 or PURCHASER (as the owner of the Shares), arising out of any circumstances whatsoever prior to transfer of the Shares, SELLER shall defend, indemnify and hold PURCHASER harmless from and against any and all such claims or lawsuits or any awards or judgments granted thereunder. 51148 does not have any employees. 51148 is not in violation of any material statute, law, regulation, ordinance, rule, judgment, order, decree or arbitration award applicable to 51148 or its business.
