EXPORT, RE-EXPORT. The Product(s) may be subject to United States Export Administration Regulations and diversion contrary to U.S. law is prohibited. All transactions are conditioned on compliance with all applicable export control laws and regulations and all other applicable laws and treaties, including without limitation the Foreign Corrupt Practices Act, of the U.S.A., international treaty and/or the Buyer’s country. Buyer agrees that it shall not, except as permitted by those laws, regulations or treaties, make any disposition, either by transshipment, re‐export, diversion or otherwise, of Products in whole or in part. Buyer warrants that it will not export or re‐ export any Products with knowledge that they will be used in the design, development, production, or use of chemical, biological, nuclear, or ballistic weapons, or in a facility engaged in such activities, unless Buyer has obtained all required permits and approvals. Buyer further warrants that it will not export or re‐export, directly or indirectly, any Products to embargoed countries or sell Products to companies or individuals listed on the Denied Persons List published by the Department of Commerce. All obligations in this paragraph survive any termination of site access, and discharge of any other contract obligations.

Customer shall comply with such laws and regulations governing use, export, re-export, and transfer of products, technology and services and will obtain all required U.S. and local authorizations, permits or licenses. Customer certifies that they are not on the U.S. Department of Commerce’s Denied Persons List or affiliated lists, on the U.S. Department of Treasury’s Specially Designated Nationals List or on any U.S. Government export exclusion lists. The export obligations under this clause shall survive the expiration or termination of this Agreement.

Customer represents, warrants and certifies to Electro that the Customer as the recipient of the Product, Software and Service and complies with all applicable laws and regulations, or in the alternative, in the event the Customer is not the recipient of Product, Software or Service then the Customer represents, warrants and certifies to Electro that the End User will be the recipient of Product, Software or Service, and the End User complies with all applicable laws and regulations. Customer acknowledges that the Product and Software are subject to the export and import control laws and regulations of various countries including the Export Administration Laws and Regulations of the United States, and local export control laws and regulations. With respect to the Product, Software and Service, Customer shall comply with such laws and regulations governing use, export, re-export, and transfer of products, technology and services and will obtain all required U.S. and local authorizations, permits or licenses. EXPORT, RE-EXPORT. 22.1. This Agreement is expressly made subject to any export laws, regulations, orders, or other restrictions imposed by the United States or by any other government entity on the licensed Software or of information relating to the foregoing. Notwithstanding any other provision to the contrary, Licensee shall not import, export, or re-export the licensed Software or any information pertaining thereto, directly or indirectly, to any country to which such import, export, or re-export is restricted or prohibited, or as to which such government or any agency thereof requires an export license or other governmental approval at the time of import, export, or re-export without first obtaining such license or approval. SubLicensee agrees not to export or re-export, or cause to be exported or re-exported, any technical data received hereunder, or the direct product of such technical data, to any country or person which, under the laws of the United States or Canada, are or may be prohibited from receiving such technical data or the direct product thereof.

Should the Software be subject to export restrictions, the Customer hereby undertakes not to sell, lend or deliver to any third party under any conditions whatsoever, with or without compensation, temporarily or permanently, the Software (including Materials and Multos Specifications delivered in connection with this License Agreement), documentation, operating manuals and information in any way whatsoever related to the Software, without the prior written consent of MULTOS and/or the relevant competent authorities. Notwithstanding the provisions above, You acknowledge the rights conferred by this License Agreement shall not be applicable for Cuba, Iran, North Korea, Sudan, Syria in order to comply with exports regulations.
