Conditions of Manager’s Obligations. The obligations of the Manager hereunder are subject to (i) the accuracy of the representations and warranties on the part of the Company, the Adviser and the Administrator on the date hereof, any applicable Representation Date, as of each Time of Sale and as of each Settlement Date and Time of Delivery, (ii) the performance by the Company, the Adviser and the Administrator of their obligations hereunder and (iii) to the following additional conditions precedent.
Conditions of Manager’s Obligations. The obligations of each Manager hereunder with respect to any order submitted by the Partnership to such Manager to sell Units or any agreement by such Manager to purchase Units as principal are subject to (i) the accuracy of the representations and warranties on the part of the Partnership on the date hereof, and as of any Representation Date and any Settlement Date, (ii) the performance by the Partnership of its obligations hereunder and (iii) the following additional conditions precedent:

The obligations of the Manager hereunder with respect to any order submitted to the Manager by the Company to sell Shares or any agreement by the Manager to purchase Shares as principal are subject to the condition that (i) the representations and warranties on the part of the Company on the date hereof, the date of submission of any order by the Company hereunder, and as of each Trigger Date, any Time of Sale and Settlement Date are true and correct, (ii) the performance by the Company of its obligations hereunder and (iii) the following additional conditions precedent.

The obligations of the several Managers hereunder are subject to the accuracy of the representations and warranties of the Companies contained in Section 1 hereof or in certificates of any officer of the Companies or any Subsidiary delivered pursuant to the provisions hereof, to the performance by the Companies of their covenants and other obligations hereunder, and to the following further conditions:

The obligations of the Manager hereunder are subject to the accuracy of the representations and warranties of the Company and the Selling Stockholder contained herein or in certificates of any officer of the Company or any of its subsidiaries delivered pursuant to the provisions hereof at each Representation Date, to the performance by the Company and the Selling Stockholder of their respective covenants and other obligations hereunder, and to the following further conditions:

The obligations of the Manager under this Agreement are subject to (i) the accuracy of the representations and warranties on the part of the Company as of the Execution Time, any applicable Representation Date, as of each Time of Sale and as of each Settlement Date and Time of Delivery (in each case as if such representation and warranty were made as of such date, modified as necessary to relate to the Registration Statement and the Prospectus as amended as of such date), (ii) the performance by the Company of its obligations hereunder and (iii) to the following additional conditions precedent.
