Devotion of Time and Effort. Executive shall use Executive’s good faith best efforts and judgment in performing Executive’s duties as required hereunder and to act in the best interests of the Company. Executive shall devote such time, attention and energies to the business of the Company as are reasonably necessary to satisfy Executive’s required responsibilities and duties hereunder.

Devotion of Time and Effort. Executive shall devote substantially all of his business time and attention, and his best efforts, abilities, experience, and talent, to the positions of Executive Vice President and Chief Operating Officer and for the businesses of the Company without commitment to other business endeavors, except that Executive (i) may make personal investments which are not in conflict with his duties to the Company and manage personal and family financial and legal affairs, (ii) may undertake public speaking engagements, and (iii) may serve as a director of (or similar position with) any educational, charitable, community, civic, religious, or similar type of organization, or, with the approval of the Board of Directors of the Company (the “Board”), a for-profit business, provided, however, serving as a director of a for-profit business in which the Executive is engaged pursuant to subsection (iv) shall not require the approval of the Board and (iv) may engage in for-profit activities, which activities may include real estate development activities in regions in which the Company is not engaged in business and non-competitive activities in areas with which the Company is not involved and which are not in conflict with the Company’s activities, so long as such activities listed in clauses (i) through (iv) do not preclude or render unlawful Executive’s employment or service to the Company or otherwise materially inhibit the performance of Executive’s duties under this Agreement or impair the business of the Company or its subsidiaries.
Devotion of Time and Effort. (a) Executive recognizes that during the period of Executive’s employment hereunder Executive owes an undivided duty of loyalty to the Company, and Executive will use Executive’s good faith efforts and judgment in performing Executive’s duties required hereunder to promote and develop the business of the Company and its subsidiaries (the Company’s subsidiaries from time to time, together with any other affiliates of the Company, the “Affiliates”). Executive shall devote all of Executive’s business time, attention and skills to the performance of Executive’s services as an executive of the Company. Recognizing and acknowledging that it is essential for the protection and enhancement of the name and business of the Company and the goodwill pertaining thereto, Executive shall perform the Executive’s duties under this Agreement professionally, in accordance with all material, applicable laws, rules and regulations and such reasonable standards, policies and procedures established by the Company and the industry from time to time.
Devotion of Time and Effort. The Contractor shall devote such time and effort as is reasonably necessary for a satisfactory performance of the services contracted.

Xxxxx agrees to devote all of his business time, attention, skill and efforts to the Companies, subject to periods of vacation and sick leave to which he is entitled, and shall not engage in activities that substantially interfere with such performance. Xxxxx shall avoid all actual or potential conflicts of interest or the appearance of a conflict of interest and any outside activities that would leave him unable to fulfill his job duties. Nothing in the foregoing shall prohibit Xxxxx from serving on the BOARD of directors for other non-profit, governmental or for-profit entities; provided, no violation of this provision shall occur as a result. Xxxxx may retain director fees or other compensation received for such service.

Executive shall use Executive’s good faith, best efforts and judgment (a) in performing Executive’s duties required hereunder and (b) to act in the best interests of the Company. Executive shall devote his full working time, attention and efforts to the business and affairs of the Company and to the fulfillment of the duties under this Agreement in a diligent and competent fashion, but may participate in charitable and personal investment activities to a reasonable extent, as long as such activities do not, in the reasonable discretion of the Board, interfere with the performance of his duties and responsibilities hereunder. In the event that the Board reasonably determines that the participation, service or activities set forth in this Section 3.2 interfere with the performance of Executive’s duties and responsibilities hereunder or otherwise violate the terms of this Agreement or any other agreement to which Executive and the Company or any of its subsidiaries are party, then the Board shall notify Executive in writing that Executive is required to cease such participation, service and/or activities, and Executive shall immediately cease such participation, service or activities. Any failure to cease such participation, service or activities shall be deemed to be a continuing and substantial willful failure to follow the lawful instructions of the Board for purposes of this Agreement.

Executive shall devote his full time, attention and efforts to the business of the Companies, but may (i) participate in charitable and personal investment activities to a reasonable extent, as long as such activities do not, in the reasonable discretion of the Board, interfere with the performance of his duties and responsibilities hereunder, (ii) serve in a non-executive director capacity for those entities set forth on Schedule A hereto, and such other entities approved by the Board in its sole discretion in writing in advance of the acceptance of such service, so long as such service does not, in the reasonable discretion of the Board, interfere with the performance of his duties and responsibilities hereunder and does not otherwise violate the terms of this Agreement or any other agreement to which the Parties are subject, and (iii) devote a reasonable amount of time to duties in respect of the accounts of Accounting Strategies Group LLC set forth on Schedule A hereto and such other Accounting Strategies Group LLC accounts as reasonably determined by Executive, so long as, in the reasonable discretion of the Board, such duties do not interfere with the performance of his duties and responsibilities hereunder and do not otherwise violate the terms of this Agreement or any other agreement to which the Parties are subject. In the event that the Board determines that the participation, service or activities set forth in (i), (ii) or (iii) of this Section 3.2, whether individually or in the aggregate, interfere with the performance of Executive’s duties and responsibilities hereunder or otherwise violate the terms of this Agreement or any other agreement to which the Parties are subject, then the Board shall notify Executive in writing that Executive is required to cease such participation, service and/or activities, and Executive shall immediately cease such participation, service or activities. Any failure to cease such participation, service or activities shall be deemed to be a continuing and substantial willful failure to follow the lawful instructions of the Board for purposes of this Agreement.
